    About:

    A Vault 50 law firm in New York City is seeking a corporate attorney to handle private equity fund formation matters.

    The practice provides a full range of services to a diverse group of clients, including US, European and international financial institutions, hedge fund managers, private equity firms, investment advisers, family offices and institutional investors. The team also advices on all aspects of funds, managed accounts and other investment vehicles, including fund formation, negotiation of managed accounts and advisory agreements, structuring management companies and compensation arrangements, spin-outs, seeding and stakes transactions, documentation of prime brokerage and other trading arrangements, and advice regarding ongoing operations.

    Experience:

    • The successful candidate will have experience forming private investment funds, such as hedge funds, venture capital funds and/or private equity funds.
    • The candidate must have experience structuring and drafting documentation for upper tier management entities and bonus and carry plans.
    • Experience working on secondary transactions, including reviewing purchase and sale agreements, transfer agreements, and client management would be beneficial.
    • Associates must have experience in assisting with investments by institutional investors in private funds and co-investments.
    • The associate must have familiarity with private fund structures and laws and regulations governing private funds and managers.

    Responsibilities:

    • Advise clients on the formation, marketing and management of domestic and international private investment funds including private equity buyout funds, venture capital funds, special situations funds, debt funds, secondary funds, hedge funds, real estate funds, hybrid funds and funds of funds.
    • Represent private fund sponsors in the United States in a wide range of corporate matters including structuring, operations and governance of their funds and management companies, succession planning, carried interest arrangements, employee investment programs, marketing arrangements and limited partner transfers.
    • Advise private fund sponsors on compliance and regulatory issues. Represent registered advisers in connection with ongoing SEC reporting and compliance matters and regulatory investigations, inquiries and examinations.
    • Represent institutional investors in connection with the review and negotiation of fund terms, rights and other considerations relating to proposed investments in leading private equity, venture, real estate, energy and hedge funds.
    • Advise investors on co-investment opportunities and advisory committee issues.
    • Represent buyers and sellers in their secondary market activities.
    • Supervise junior Associates.
    • The team supports practices in specialty areas critical to the seamless execution of fund formations and transactions, including regulatory, tax, finance, ERISA, AIFMD, trading agreements, capital markets and intellectual property.
