- Provide legal advice and counsel on corporate matters, including mergers and acquisitions, venture capital financing, and emerging company transactions.
- Draft, review, and negotiate various corporate agreements, including purchase agreements, shareholder agreements, and financing documents.
- Conduct legal due diligence reviews for mergers, acquisitions, and investments.
- Advise clients on corporate governance matters and compliance issues.
- Assist in the structuring and formation of business entities.
- Represent clients in corporate transactions and negotiations.
- Membership in the State Bar of California.
- Bachelor's degree in Law or related field (Juris Doctor preferred).
- Minimum of 5 years of experience practicing corporate law, focusing on M&A and Venture Capital/Emerging Companies.
- Proven track record of handling complex corporate transactions.
- Strong understanding of corporate governance principles and securities regulations.
- Excellent analytical, negotiation, and communication skills.
- Ability to work effectively in a fast-paced environment and manage multiple priorities.
- Bachelor's degree in Law or related field required.
- Juris Doctor (JD) degree preferred.
