    Job DescriptionLHH Recruiting Solutions is recruiting for an experienced Senior Corporate Paralegal to join a prestigious law firm in Chicago. The ideal candidate will have a strong background in M&A, private equity, corporate governance, and entity formation. The Senior Corporate Paralegal will play a key role in supporting our legal department in these specialized areas and will be responsible for managing complex transactions and corporate governance matters.

    Responsibilities:
    • Assist with the preparation and execution of complex M&A transactions, including conducting due diligence, drafting transaction documents, and coordinating closings.
    • Manage the formation and maintenance of entities, including corporations, LLCs, and partnerships.
    • Support the corporate governance function by preparing board and committee materials, maintaining corporate records, and ensuring compliance with corporate formalities.
    • Assist with private equity transactions, including fund formations, capital calls, and distributions.
    • Conduct legal research on complex corporate law issues and prepare memoranda and summaries for attorneys.
    • Coordinate with external counsel and other third parties in the execution of transactions and projects.
    • Mentor and provide guidance to junior paralegals and legal assistants.
    • Perform other duties as assigned by the legal team.

    Qualifications:
    • Bachelor's degree and/or paralegal certificate from an ABA-approved program.
    • 5+ years of experience as a corporate paralegal, with a focus on M&A, private equity, corporate governance, and entity formation.
    • Strong knowledge of corporate law principles and practices.
    • Experience working on complex M&A transactions and private equity deals.
    • Proficiency in Microsoft Office Suite and legal research databases.
    • Excellent organizational, communication, and interpersonal skills.
    • Ability to manage multiple projects and deadlines effectively.
    • Attention to detail and commitment to accuracy.

    Pay Details: $85,000 to $130,000 based on experience

    Benefit offerings available for our associates include medical, dental, vision, life insurance, short-term disability, additional voluntary benefits, EAP program, commuter benefits and a 401K plan. Our benefit offerings provide employees the flexibility to choose the type of coverage that meets their individual needs. In addition, our associates may be eligible for paid leave including Paid Sick Leave or any other paid leave required by Federal, State, or local law, as well as Holiday pay where applicable.

    Pay Details: $85,000.00 to $130,000.00 per year
