    SUMMARYThe
    role of Head of Legal is to provide counsel and guidance on legal
    implications of all global operational business matters to executive
    management and other Company personnel.
    This is achieved through management and organization of commercial
    activities through the legal team, to protect the company's legal
    interests and to facilitate the achievement of company goals and
    objectives.


    JOB SPECIFIC RESPONSIBILITIESOversee global operational field support matters including, but not limited to, drilling contracts, commercial operating structures (joint ventures, consortiums etc.), material supplier contracts, general third-party contracts, vessel/flag state matters, dispute resolution, occasional acquisitions and divestitures, customs and logistics issues, training/compliance, and real estate matters.

    Draft, review, analyze and interpret contracts and other documents.
    Assist in the development of the company's legal position in substantial legal matters.

    Prepare, negotiate, review, evaluate and/or comment on contracts and obligations of the company, and advise appropriate personnel of the degree of legal risk associated with such contracts and obligations prior to becoming a party or otherwise becoming legally bound.

    Participate in the achievement of company goals and objectives by advising members of executive management and other personnel on legal alternatives for business decisions and by providing sound and timely legal services to meet the needs of corporate and operating management.

    Provide legal advice and interface with colleagues on issues related to general operational matters, local HR, marketing matters, policy development, training and quality, health, safety and environmental matters and intellectual property.

    Monitor the company's pending and threatened litigation and assist with claims management.

    Manage, with the assistance of outside counsel, litigation and disputes relating to Jones Act claims, labor and employment matters, and other litigation as may be required from time to time.

    With Chief Compliance Officer, lead legal department in establishing structures for new country entry in various jurisdictions globally, including development of structures that comply with local law requirements, with the assistance of outside counsel.

    Advise executive management and other personnel of the impact of proposed local, state, federal and international laws and regulations and judicial and administrative decisions on any existing and proposed activities of the company.

    Review corporate practices including but not limited to operations, marketing, bidding, antitrust compliance, etc. to ensure conformance to standards set forth in the applicable laws and company guidelines and principles.

    Participate in the development of company policies, procedures, standards, programs and business strategies and ensure each is applied in full recognition of all legal implications and risks.

    Conduct trainings on various legal topics as necessary.

    Prepare and review legal documents and assist in the representation of the company before courts and governmental and regulatory authorities.

    Review and monitor use of outside law firm attorneys by the company, domestically and internationally.

    Directly supervise and mentor several internal legal operational/commercial counsel located outside the US, coordinating seamless legal advice on such matters globally.

    Manage assigned or delegated dispositions, acquisitions and other special projects and tasks to completion in an efficient, economical manner to contribute to the achievement of company goals and objectives.

    Review and interpret state and federal regulations and court rulings; liaise with international local counsel.
    Assist General Counsel with discrete compliance matters.
    Perform duties as assigned by the General Counsel from time to time.
    Travel as required from time to time (<10%)KNOWLEDGE, SKILLS AND

    EXPERIENCEExperience:10+ years' professional legal experience with at least 5 in one or more of the following areas: Drilling, Maritime, Oilfield Services or Energy.

    Experience in international operations.
    Previous in-house experience preferred.
    Strong experience of managing and developing junior attorneys.

    Ability to judge character, distinguish relevant facts, assimilate and analyze facts, and apply legal conclusions;Good communication and analytical skills; good legal research skills; teamwork skills; good problem-solving skills; good legal writing skills; strong professional and legal judgment;Ability to meaningfully discuss legal concepts with non-legal technical staff;Thinks commercially and pragmatically, solves problems in the context of the economic, geographic and political issues relevant to Seadrill - our lawyers can see the "big picture" of our business; this role must partner closely with the business, particularly Commercial, Supply Chain, Operations and Human Resources;Agile and adaptable to changing conditions, is comfortable in situations that may be ambiguous or where all the relevant information isn't available;Open and collaborative working style;Proactive approach to matter management and client engagement;Experience of supporting and teaching junior team members;Experience of working collaboratively in multicultural teams, and possibly in remote teams spread across different countries;Mature with a calm manner;Strong resource management skills and ability to plan and organize;Proficient in Microsoft Office Suite application.

    QualificationsBachelor's degree and Doctor of Jurisprudence (JD) degree from an American Bar Association accredited law school.

    Licensed to practice law in Texas or other state; member in good standing of the State Bar of Texas or other applicable state.
