    24WD7651524WD76515 Corporate Counsel, Procurement Position Overview We are seeking a well-rounded attorney to be part of a small commercial legal team responsible for providing legal advice and support to North America Sales and Procurement. You will review, negotiate and draft third-party service provider agreements to support business initiatives while mitigating risk to Autodesk. You will manage technology (SaaS, software, hardware, PaaS), professional services, HR benefits, logistics, and outsourcing agreements.You will summarize legal issues into actionable advice for Procurement, while also participating in template drafting and improvement projects to create efficiencies and repeatable processes. We are looking for extensive knowledge of legal language and practices, and excellent communication skills. You will report to the Senior Manager, Senior Corporate Counsel – Direct Sales & Procurement, and this role is hybrid, working from our Denver, San Francisco, or Montreal offices. Responsibilities
    • Review, negotiate and advise on multiple legal matters such as intellectual property, liability, indemnification, AI/ML, data privacy and security issues and general risk related to third-party service provider engagements and contracts
    • Draft and keep Procurement contract templates current and take a pro-active approach to streamlining language and assist stakeholders with drafting concise contract language
    • Engage at all levels to support and enable company initiatives leveraging third-party service provider engagements
    • Work collaboratively with other teams who support several aspects of our vendor life-cycle management process
    • Be adept a working with other legal teams and subject matter experts including product, data, privacy, AI, IT, marketing and compliance teams
    • Partner with Legal colleagues in different geological regions to provide Procurement with advice, method of engagement, contract templates, and processes with the goal of building/maintaining a company-wide approach to managing risk and third-party service provider engagements
    • Balance legal strategy and tactical needs
    • Review, negotiate and support direct sales deals
    • Contribute to department wide initiatives and programs
    Minimum Qualifications
    • JD from an accredited university and bar membership in good standing
    • 7+ years of combined law firm and in-house experience with a global public company or experience working with Internet or large technology companies
    • Experience as the primary drafter and negotiator on a wide range of supplier and customer technology transactions
    • Experience negotiating contracts involving complex IT agreements with very large industry players, intellectual property ownership concerns, SaaS, professional services, privacy laws, data security, and AI/ML
    • Work independently, manage multiple deals and requests at once, ability to navigate effectively through ambiguity
    • Able to present concise information to senior leaders, including drafting risk memos
    • Practical legal judgment and strong analytical and problem-resolution skills
    • Think strategically and give sound advice appropriately weighing legal and business objectives
    • Ability to work East Coast hours a plus

Vous relèverez du ou de la directeur(trice) principal(e), conseiller(ère) d'entreprise principal(e) – Ventes directes et approvisionnement. Ce rôle est hybride et vous travaillerez depuis nos bureaux à Denver, à San Francisco ou à Montréal. Responsabilités
    • Réviser, négocier et conseiller sur de multiples questions juridiques telles que la propriété intellectuelle, la responsabilité, l'indemnisation, l'intelligence artificielle et l'apprentissage automatique, la protection des données et la sécurité, ainsi que les risques généraux liés aux contrats et aux engagements de fournisseurs de services tiers
    • Rédiger et maintenir à jour les modèles de contrat d'approvisionnement, adopter une approche proactive pour simplifier le langage et aider les parties prenantes à rédiger dans un langage concis pour les contrats;
    • S'engager à tous les niveaux pour soutenir et rendre possible les initiatives de l'entreprise qui tirent parti des engagements de fournisseurs de services tiers;
    • Travailler en collaboration avec d'autres équipes qui prennent en charge plusieurs aspects du processus de gestion du cycle de vie des fournisseurs;
    • Savoir travailler avec d'autres équipes juridiques et des experts en la matière, notamment des équipes chargées des produits, des données, de la confidentialité, de l'intelligence artificielle, de l'informatique, du marketing et de la conformité
    • Établir des partenariats avec des collègues juridiques de différentes régions géographiques pour fournir des conseils, des méthodes d'engagement, des modèles de contrat et des processus d'approvisionnement, dans le but de mettre en place/maintenir une approche globale de gestion des risques et des engagements de fournisseurs de services tiers
    • Équilibrer la stratégie juridique et les besoins tactiques
    • Réviser, négocier et soutenir les accords de vente directe
    • Contribuer aux initiatives et aux programmes à l'échelle du service
    Exigences minimales
    • J.D. obtenu d'une université et d'un barreau accrédités en bonne et due forme;
    • Au moins 7 ans d'expérience combinée en cabinet d'avocats et en interne dans un entreprise publique mondiale ou d'expérience de travail avec des entreprises en ligne ou de grandes sociétés technologiques
    • Expérience en tant que principal(e) rédacteur(trice) et négociateur(trice) dans un large éventail de transactions technologiques avec les fournisseurs et les clients
    • Expérience de la négociation de contrats impliquant des accords informatiques complexes avec de très grands acteurs du secteur, des préoccupations en matière de propriété intellectuelle, des contrats de logiciels services, des services professionnels, des lois sur la protection de la vie privée, la sécurité des données et l'intelligence artificielle/l'apprentissage automatique
    • Travailler de manière indépendante, gérer plusieurs transactions et demandes à la fois, naviguer efficacement dans des situations ambiguës

For U.S.-based roles, we expect a starting base salary between $147,500 and $238,590. Offers are based on the candidate's experience and geographic location, and may exceed this range.
