    Position Summary:


    Sara Kilian, Vice President, General Counsel and Head of Global Legal Services, is searching for a Manager for a Senior Manager for her Commercial Transactions team.

    Perforce is looking for an individual who thrives in a fast-paced work environment, is very detail-oriented, has strong problem-solving skills, has experience managing staff, and has the ability to work independently while managing multiple priorities and deadlines.

    This role will be responsible for managing all aspects of the commercial and contractual arrangements between Perforce and its customers, suppliers, and partners.

    The position will work closely with cross-functional teams, including Sales, Legal, Procurement, Marketing, Finance, Revenue Operations, and others as required to negotiate and manage contracts and ensure compliance with contractual obligations.

    The position will also be responsible for identifying commercial risks and opportunities, designing and implementing new commercial legal processes in connection with our business applications operations team, and supporting business development initiatives.

    The position reports to the Vice President, General Counsel and Head of Global Legal Services and collaborates with other high-functioning professionals across the business.


    Responsibilities:


    Manage and scale a global team that will continue to successfully partner with and support the expanding sales and procurement organizations.

    Manage, supervise, and train a global team in drafting, reviewing, and negotiating complex on-premise license agreements, Software as a Service (SaaS) agreements, professional services agreements, channel agreements, partner agreements, data processing agreements, assignment and assumption agreements, and other commercial agreements needed to support the sales and go-to-market teams.

    Provide practical, commercial advice to global sales executives and internal stakeholders on a variety of sales and support-related issues, all while balancing business objectives with legal risks, including identifying, managing, and communicating risks and opportunities in revenue transactions and analyzing and interpreting complex business and legal contractual provisions.

    Work collaboratively to provide continuous improvement of cross-team education and guardrails, and assist in the development and maintenance of playbooks, contract templates, and legal processes (including CLM implementation, workflow development and refinement).Partner with sales, sales operations, finance, information security, customer success, and other functions to ensure efficient and effective legal support for commercial transactions.

    Manage the accurate and timely reporting of contractual and commercial performance, including the monitoring of, and reporting on, key performance indicators and metrics.

    Oversee and direct the maintenance and organization of the Perforce contracts database and ensure all contracts are up-to-date and properly documented.

    Provide training and support to internal stakeholders on contract and commercial matters, including best practices, processes, and procedures.
    Stay up-to-date with industry trends and emerging technologies, and provides insights and recommendations to the General Counsel.

    A demonstrated experience in negotiating complex commercial transactions, specifically with large enterprises, including a solid working knowledge of business models, relative bargaining power, sales motions, global commercial negotiation practices, revenue recognition standards, and the ability to quickly and accurately recognize areas of risk/opportunity.


    Requirements:
    Undergraduate or higher-level degree required. Experience in-house at a software/technology company highly preferred.

    Minimum of 8 years of hands-on experience in drafting and negotiating software and technology on-premise software licensing agreements, cloud/hosted software agreements, SaaS Agreements, and/or platform as a service agreements.

    Excellent drafting skills and ability to adapt legal requirements in balanced, creative, and pragmatic ways that are consistent with Perforce objectives, policies, and processes.

    Excellent negotiator who is able to effectively navigate issues externally and internally, including across departments, with strong interpersonal skills.

    Able to successfully manage competing priorities and work independently on a wide range of issues and projects, while delivering quality work.

    Highly motivated self-starter, who excels in a fast-paced, time pressured, and demanding environment.
    Experience with contract management systems a plus.
    Well-organized and able to work on tight timelines while handling multiple projects.

    A confirmed ability to effectively influence, lead, collaborate with, and motivate others at all levels and in a globally based organization.

    Strong team, business, project, and people management skills.
