    SUMMARY

    This position is essential in helping Momentum Telecom to create and organize processes by which to secure additional and maintain existing contracts, increase revenue, and provide a positive customer experience. This role will contribute to the success of the Momentum team by providing legal and business support for contracts with customers and vendors located throughout the country. You will be responsible for a wide range of contract and other activities: analyzing customer solicitations and agreements, developing proposal documents, negotiating terms and conditions, participating on a cross-functional team to resolve contract disputes, and preparing amendments, renewals and close-out documentation. You also will have the opportunity to contribute your best ideas to help Momentum meet its sales and business objectives.

    This position will be based in our Atlanta, GA headquarters office (Sandy Springs area) and will have a hybrid work schedule.

    ESSENTIAL DUTIES AND RESPONSIBILITIES

    • Implementation and Administration of Contract Management System
    • Review of all customer contracts for material changes to standard terms and conditions. Coordination of contract modifications with General Counsel, sales team, CFO and outside counsel as required.
    • Review of all vendor contracts for terms and conditions. Coordination of contract modifications with department heads, General Counsel and outside counsel as required.
    • Review and drafting of additional contract documents including MSAs, NDAs, assignment and assumption agreements, and data privacy/security agreements.
    • Provides due diligence and litigation support
    • Tracks outstanding matters, especially contract matters, with an eye toward continual improvement in cycle times, pro-active communication of status and on-time delivery of work product.
    • Trains Company employees and serves as subject matter expert for the contract management process.
    • Identifies and onboards new users/user groups on the contract management software.
    • Coordinate responses to subpoenas and discovery requests
    • Administration and review of invoicing from outside legal firms.
    • Administration of corporate insurance policies. Accumulation and preparation of information required for insurance renewals.
    • Provide responses for certificate of insurance requests
    • Help develop systems, policies and processes required for cost-effectiveness, efficiency and alignment within the contract management function and cross- functionally.

    EDUCATION and EXPERIENCE

    • A minimum of 5 years of experience in a contract management role is required.
    • Paralegal certification required
    • 2-4 years of in-house/corporate experience for a mid to large-size firm is required.
    • Experience working within a technology service provider environment is preferred, but not required. Experience reviewing and modifying contract terms and conditions.
    • Experience coordinating contract negotiations with management and outside counsel
    • Previous experience with and understanding of terms related to MSAs, NDAs, assignment and assumption agreements, and data privacy/security agreements.
    • Prior implementation/administration of contract management system a strong plus
    • Strong proficiency with MS Office Suite applications (Word, Excel, PowerPoint) and Adobe Acrobat. Technology savvy for purposes of document review, editing, signing, and communication.
    • Notary Public or willing to obtain within the next year

    • Excellent oral and written communication skills
    • Ability to become proficient in utilizing technology (internal and external systems) on a routine basis to streamline work processes
    • Excellent organization and time-management skills, accuracy, and meticulous attention to detail
    • Ability to work both independently and as part of a cross-functional team, in a fast-paced environment
    • Willingness to work with frequently changing priorities.
    • Adherence to Momentum policies on ethics and integrity.
    • Ability to handle sensitive and confidential information with the highest degree of integrity.
    • Knowledge of or willingness to learn state and local government contracting law and the internal Momentum processes relevant to contract management.
    • Ability to work with varying seniority levels, including executives, staff, managers and external partners/customers
