Design international transactions and restructurings in South Bound Brook, NJ

As part of a specialized boutique law firm, you will advise internationally operating companies on tax-relevant strategic decisions. This includes, in particular, the purchase and restructuring of companies and corresponding financing.

Together with an interdisciplinary team of tax consultants and lawyers, you will develop tax-optimized concepts, create legally secure contracts, and represent the interests of your clients to tax authorities.

This position is suitable for you if you enjoy developing and implementing comprehensive tax concepts.

Responsibilities:

Advising companies such as institutional investors (funds, family offices), project developers, and the public sector on taxrelevant/induced
Company and share transactions, such as mergers & acquisitions/M&A, private equity transactions
Corporate restructuring, such as conversions
Capital market transactions, such as acquisition financing through equity and debt capital
Design consulting: developing taxoptimized transaction structures (e.g. asset & share deals), corporate structures (e.g. legal form selection), and financing structures
Drafting taxoptimized contracts (e.g. sale and purchase agreements/SPA, asset purchase agreements/APA)
Reviewing tax risks (tax due diligence) and drafting tax opinions
Assisting with external audits, especially tax audits, and enforcing or defending against tax claims
No ongoing tax consulting/accounting
