EVP and General Counsel

Overview of Position: The EVP, General Counsel serves an expert role in providing support to the members of the Business Unit(s) in all matters pertaining to Company contractual commitments associated with the activities of the Business Unit(s), including contracts, agreements, contract changes, and the proper documentation of same to ensure that the company has adequate contractual protection in its business dealings; and management in all corporate legal matters, including patent, trademark, copyright, and other intellectual property protections, export and import laws and regulations, and corporate governance; and the Board of Directors in preparation of meeting materials, meeting minutes, compliance training, and general legal support.

Responsibilities:

• Provide strategic legal advice and guidance to the executive team and the board of directors on a wide range of legal issues affecting the organization.
• Oversee all legal matters, including corporate governance, compliance, risk management, litigation, intellectual property, contracts, and regulatory affairs across multiple jurisdictions.
• Lead the development and implementation of legal strategies and policies to protect the organization's interests and ensure compliance with applicable laws and regulations.
• Manage and supervise a team of attorneys and legal professionals, fostering a collaborative and high-performing work environment.
• Collaborate with other departments, including HR, sales, finance, operations, and business development, to address legal issues and support business initiatives.
• Lead or support negotiations for complex transactions, including mergers and acquisitions, partnerships, and joint ventures.
• Stay abreast of legal and regulatory developments that may impact the organization and proactively advise on potential risks and opportunities.
• Oversee HR functions, including employee relations, talent acquisition, performance management, compensation and benefits, and HR policies and procedures.
• Ensure compliance with employment laws and regulations and promote a positive and inclusive workplace culture that aligns with the organization's values and objectives.

Requirements:

• Juris Doctor (JD) degree from an accredited law school and active membership in good standing with the bar association.
• 15 years of experience practicing law, with a focus on corporate, commercial, and/or employment law.
• Proven leadership experience overseeing legal and/or HR functions in a complex organization, preferably on a global scale.
• Strong strategic thinking, problem-solving, and decision-making skills, with the ability to balance legal considerations with business objectives.
• Excellent communication, negotiation, and interpersonal skills, with the ability to build and maintain effective relationships at all levels of the organization.
• Demonstrated ability to lead and develop a high-performing team, fostering collaboration, innovation, and professional growth.
