- Provide legal counsel and support to clients in private equity fund formation processes.
- Draft and review fund formation documents, including limited partnership agreements, subscription agreements, and offering memoranda.
- Advise clients on regulatory compliance and securities laws affecting investment funds.
- Conduct due diligence reviews and analysis for fund investments and transactions.
- Assist in negotiating and structuring fund agreements and transactions.
- Collaborate with other attorneys and support staff to ensure efficient and effective client service.
- Juris Doctor (J.D.) degree from an accredited law school.
- Admission to the Bar in Washington, DC, or eligibility for admission through waiver or reciprocity.
- Minimum of 3 years of experience practicing corporate law, focusing on private equity fund formation.
- Strong understanding of investment fund structures, regulations, and industry best practices.
- Excellent analytical, research, and communication skills.
- Ability to work effectively in a fast-paced, collaborative environment.
