- Responsible for securities law compliance and filings (10-Ks, 10-Qs, 8-Ks, proxy statements, and Section 16 reporting), capital markets transactions (including debt offerings and credit facilities), subsidiary management, stockholder matters, stock exchange matters, earnings releases, compliance and related policies, ESG support, and equity administration.
- Lead and/or support mergers and acquisitions, corporate venture investments and strategic transactions.
- Manage board/committee and stockholder matters, including preparation of agendas, meeting materials and drafting of minutes. Manage, advise, and provide guidance on rules and trends relating to corporate and securities laws.
- Supervisory Responsibility: Demonstrated capability in supervising the work of others, directing tasks and maintaining productivity.
- Juris Doctor Degree and licensed to practice in Pennsylvania or ability to obtain a Pennsylvania license
- 7-10 years of total experience with prior law firm experience representing Fortune 500 companies preferred; in-house experience at a public company is a plus
- This role is based in Pittsburgh, PA at our HQ and would require relocation

OVERVIEW:
This position is ideal for an experienced attorney looking to join a dynamic in-house legal team to lead DICK'S public company related work and support all aspects of its corporate governance.
Primary responsibility for this role is to lead the legal work related to (i) SEC compliance, public company disclosure and reporting, (ii) corporate governance matters, and (iii) capital market transactions.
