    Position Overview:
    Analog Devices is seeking an experienced Senior Director to lead our Corporate Development team.

    Reporting to the Vice President of Finance, this will be a hybrid role, based in Wilmington, MA (a short distance outside of Boston), at the offices of ADI's corporate headquarters.


    As Senior Director, this person will work closely with ADI's Corporate Strategy and Business Unit leaders to drive transactions that will help shape the future of ADI.

    This role is responsible for leading acquisitions, divestitures, and equity investment projects from inception to completion.

    Key Responsibilities


    Partner with Corporate Strategy and Business Unit leaders to identify and assess potential acquisition targets that are aligned to ADI's strategic priorities.

    Review and pressure test the acquisition thesis to ensure it drives shareholder value.

    Lead and manage acquisition and divestiture processes end to end, including diligence, financial modeling and analyses, transaction valuation, and negotiation.

    In this capacity, drive alignment with business and strategy teams, legal, external advisors, and functional leads. Responsibilities include due diligence coordination, accretion/dilution and synergy financial modeling, pre-integration planning, and managing the internal approval process.
    Present to leadership team on valuation and impact to shareholders. Advise senior leaders on the financial implications and risks related to key transaction issues.
    Develop, oversee, and review complex financial models and analytical projects to inform decision making and make strategic recommendations.
    Partner with business units and coordinate with functional leads to support initial integration activities and integration hand-off.

    Engage with investment bankers on inbound acquisition opportunities, landscape reviews, and solicit information on companies and technology areas of interest.

    Bring 'outside-in' knowledge of market trends and opportunities. Partner with investment bankers to support larger deals, as appropriate.
    Partner with Corporate Strategy team to support new and existing venture capital investments.

    Key responsibilities include managing the diligence process, preparing financial analyses, working with the Legal team to negotiate business terms, and monitoring financial performance.

    Act as a thought leader and subject matter expert, building strong relationships across the organization to drive better strategic and financial outcomes.

    Monitor acquisition performance to facilitate continuous learning. Track open and precedent deals for both regulatory and valuation trends and insights.

    Supervise, coach, and develop other members of the Corporate Development team, with a focused on developing a high-performing, agile, and collaborative team.

    Required Skills and Experience

    Bachelor's Degree in Finance, Economics, Business Administration, Engineering, or a related field. Master's Degree preferred.
    12+ years of work experience in Corporate Development, Investment Banking, Private Equity, or Management Consulting.

    Transaction experience through due diligence, contract development and negotiations, signing, and completion over various deal sizes from small (sub $25M) to large (over $1B).

    Demonstrated financial expertise with various M&A valuation methodologies and shareholder return analyses.

    Ability to quickly assess transactions, and communicate the key strategic value elements, areas of synergy, key risks, and value detractors.

    Proven negotiation skills with the ability to lead through influence and build relationships with both internal and external stakeholders.
    Strong executive presence to be able to communicate effectively with senior executives, transaction counterparties, and advisors. Excellent verbal and written communication skills.
    Highly motivated and organized self-starter that can effectively prioritize in a deadline-driven environment.
    Strong time management skills, ability to work on multiple projects at one time.

    Team-player who leads by example and displays a willingness to contribute at both the tactical and strategic levels, as needed.

    Positive attitude and unquestioned integrity.
    Demonstrated learning agility. Ability to adapt and thrive in evolving environments.
    Advanced Microsoft Excel and PowerPoint skills and knowledge of industry research platforms.
