We are currently seeking aCorporate Governance Paralegal to work with our F500 clients.
Responsibilities:
- Assist client's internal attorneys in drafting and reviewing corporate governance documents, including board resolutions, bylaws, policies, and charters
- Conduct research and analyze legal and regulatory requirements related to corporate governance and compliance
- Maintain and update corporate records, including board and committee minutes, shareholder records, and other governancerelated documents
- Assist with the preparation and filing of corporate documents including annual reports, proxy statements, and SEC filings
Minimum Qualifications:
- 5+ years of corporate governance paralegal experience gained in an AmLaw100 firm or inhouse environment
- Strong understanding of corporate governance principles and best practices and familiarity with corporate filings, SEC regulations, and compliance requirements
- Proficient in legal research tools, databases, and related software
- Open to working in a secondment or engagementbased role
