    JOB SUMMARY:


    The Corporate Counsel will provide legal representation and support for a wide variety of legal and banking related topics under the direction of the EVP, Deputy General Counsel of Banc of California (the "Bank").

    The position will largely support the Procurement and Lending departments of the Bank and is expected to be a strategic business partner in determining a proactive response to the business units.

    As part of a smaller Legal department in a rapidly growing bank, the attorney will be expected to provide quick, concise and focused legal advice in a number of areas, and should demonstrate a willingness to face new legal issues outside of his or her core competence.

    Performs all duties in accordance with the Bank's policies and procedures, and all U.S. state and federal laws and regulations wherein the Bank operates.

    Responsibilities


    • Provide day-to-day legal advice to management and business units, including all community and specialty lending, loan operations, loan servicing, portfolio management, and credit.
    • Review, draft and negotiate loan documents, including loan and security agreements, promissory notes, deeds of trust, subordination agreements and guarantees.
    • Review, draft, and negotiate a wide variety of vendor contracts and non-disclosure agreements, and create/maintain standardized forms.
    • Review and analyze entity formation and other organizational documents, such as operating agreements, bylaws, partnership agreements, resolutions, and court-issues documents. Advising internal clients on organizational and officer authority-related issues, as well as signing authority.
    • Oversee and manage outside counsel.
    • Work across business units and with all levels of management with support partners and business partners to identify and mitigate risk.
    • Develop and implement training for the business units to educate and create broader awareness and contextual perspective.

    • Perform the position safely, without endangering the health or safety to themselves or others and will be expected to report potentially unsafe conditions. The employee shall comply with occupational safety and health standards and all rules, regulations and orders issued pursuant to the OSHA Act of 1970, which are applicable to one's own actions and conduct.
    • Manage and perform other legal work in partnership with other attorneys. Provide "backup" for other attorneys as needed.
    • Perform all other job duties as assigned by supervisor correctly and on time, support Bank's goals and values.

    Qualifications


    • Exceptional lending and commercial contract knowledge.
    • Understand the impact of various changes in contractual language.
    • Excellent issue spotting, risk assessment and problem-solving skills.
    • Excellent organizational and time management skills.
    • Proven analytical abilities and strong attention to detail.
    • Exemplary motivation, enthusiasm, professionalism, and team skills.
    • Intermediate skills in computer terminal and personal computer operation; mainframe computer system; word processing, spreadsheet, and specialty software programs.
    • Intermediate typing skills to meet production needs of the position.
    • Intermediate math skills; calculate interest and percentages; balance accounts; add, subtract, multiply and divide in all units of measure, using whole numbers, common fractions and decimals; locate routine mathematical errors; compute rate, ratio and percent, including the drafting and interpretation of bar graphs.
    • Exceptional oral, written and interpersonal communication skills with the ability to apply common sense to carry out instructions, interpret documents, understand procedures, write reports and correspondence, and speak clearly to customers and employees.
    • Ability to function well in a situation with ambiguous or generally-defined goals, issues and methods.
    • Ability to be highly cooperate with others and responsive to the Bank's needs.
    • Ability to deal with complex difficult problems involving multiple facets and variables in non-standardized situations.
    • Demonstrate knowledge of and adherence to all policies and procedures, including EEO policy; show respect and sensitivity for cultural differences; educate others on the value of diversity; promote a working environment free of harassment of any type; build a diverse workforce and support affirmative action.
    • Juris Doctorate (J.D.) from an ABA accredited law school required.
    • Three (3) to five (5) years' of legal experience in vendor contracts, contract negotiations and lending transactions.
    • Active member of the State Bar of California required.
    • Strong understanding of the interplay between legal and business risk.
    • Experienced in topical issues of particular regulatory concern (e.g. Privacy/GLBA, TISA, EFTA, ECOA, TILA, RESPA, TCPA, FCRA, SCRA, UDAAP, etc.) preferred, but not required.

    SALARY RANGE:
    $101, ,946.24 USD; Exact compensation may vary based on skills, experience, and location.
