Description

This role will be a key member of our legal team focused primarily on commercial transactional contracts, corporate governance and other legal and related administrative matters as assigned.

We have a driven, collegial and focused legal group which emphasizes teamwork and internal client support. Responsible for primarily regional legal affairs of the Company. Interacts frequently with all departments. Engages, coordinates with and monitors outside counsel.

  • Provide high quality oral and written legal advice in a costeffective manner to internal clients.
  • Serve as legal and business adviser to business partners on compliance with law and existing corporate policies.
  • Recommend practical courses of action to achieve client goals within the scope of what is legally permissible.
  • Responsible for drafting, reviewing and negotiating software as a service (SaaS) agreements, professional service agreements, term and perpetual software license agreements, royalty agreements, technical and general procurement agreements and a variety of other vendor/corporate contracts, and guiding colleagues and management through the various stages of the contract process, to include driving planning, collaboration, contractual strategy, negotiation, execution and storage of documents.
  • Responsible for drafting, negotiating and managing technology procurement and general procurement agreements.
  • Support corporate compliance with data protection and privacy laws and enterprise risk management programs, including in drafting, reviewing and negotiating corporate contracts and in collaboration with legal and compliance teams to create and update applicable policies, procedures, and guidelines.
  • Regular interface with a highly collaborative and interactive legal/business team.
  • Regular interaction with business clients, management and outside customers and vendors regarding drafting and negotiating complex commercial agreements and transactions.
  • Provide legal expertise to mergers and acquisitions transactions.
  • Assign, direct and review the work of paralegals, as assigned.
  • May prepare and conduct training sessions for internal clients.
  • Maintain current knowledge of legal issues and developments in the law.
  • Support corporate activities relating to maintenance of corporate subsidiaries.
  • Support corporate activities relating to filing and record keeping.


  • M&A

  • Performs due diligence review for corporate acquisitions, helps manage integration and transition issues.


  • Litigation

  • Handling and resolution of disputes. Pending litigation in most circumstances will be handled by outside counsel under direction of regional corporate counsel and general counsel.


  • International

  • Oversight on international legal matters, including import/export restrictions, contracts, employment, IP protection, M&A, distribution and manufacturing relationships. Providing assistance in managing corporate matters of foreign subsidiaries.
  • Legislation and Regulatory Compliance
  • Oversight on regulatory compliance matters, including federal and state legislation.


  • Employment Matters

  • Assist the Human Resources Department in assessing employment issues such as employee discharge and recruitment, affirmative action plan development and related regulatory compliance, review of employee compensation and benefits programs and plans, and principal and agency issues.

Required Skills:


  • 4 years' + relevant experience
  • Juris Doctorate
Required Experience

  • Jurist Doctorate licensed to practice in the state of California or other state in which the Company conducts business (or other inhouse practice requirements otherwise met from licensing outside of state).
  • Knowledge and experience regarding contracts; corporations and corporate governance, and compliance programs.
  • Experience in software as a service (SaaS) and software licensing, intellectual property, data protection and privacy, enterprise risk management, transactional work and product due diligence reviews.
  • Strong written and oral communication skills.
  • Strong contracts management background.
  • Excellent attention to detail and document presentation.
  • Comfortable and confident communicator with various levels of personnel and third parties.
  • Strong computer skills required, including Word, Excel, PowerPoint, Microsoft Copilot, internet and legal research resources.
  • Strong customer relation/service experience.
  • Responsive and organized; flexible team player; able to work and meet deadlines in a fastpaced environment and handle multiple projects without close supervision.
  • Strong analytical, organizational and time management skills.
