    BW Energy is seeking a project and asset finance lawyer with 8+ years of international project development and finance experience in the oil and gas sector.

    Responsibilities

    This role will provide strategic legal advice and counsel to internal business partners with respect to all legal matters related to exploration, production and development projects and finance, which includes identifying and providing solutions to mitigate business and legal risk. The successful applicant will:

    • Lead and manage legal aspects of complex international transactions, including corporate and asset level acquisitions, divestitures, joint ventures, farmout transactions, and major project development and finance transactions
    • Review, draft, negotiate and interpret a wide range of commercial agreements, including joint venture / partnership / LLC / shareholder agreements, licensing agreements, investment agreements, services agreements, transportation agreements, intercompany finance agreements, security agreements, hedging agreements, term sheets, letters of intent and facility documentation, and assist with EPC/IC and other construction agreements as needed in connection with financing efforts
    • Assist with infrastructure sale/purchase and sale/leaseback transactions
    • Advise on debt and equity financings and structuring
    • Identify and counsel the business lines on potential risks, claims and disputes arising from commercial contracts and transactions, and propose practical solutions
    • Advise executive management and other personnel of the impact of proposed local, state, federal, and international laws and regulations and judicial and administrative decisions on any existing and proposed financing activities of the company
    • Coordinate and manage outside counsel during due diligence activities and transactions
    • Engage and instruct outside counsel as needed for regulatory, tax and local jurisdiction advice and assistance
    • Provide support to other attorneys in the Legal Department regarding transactional matters, financing, leasing, and business governance matters and relevant functions of the company: Finance, Tax, Insurance, Supply Chain, Human Capital, Corporate Integrity (Compliance)
    • Assist with efforts to promote a high-performance culture throughout the Company global organization with accountability for success of Legal Counsel initiatives, such as work appetite, resolution management, and improvement in all lines of business
    • Be responsible for working within a legal budget or budgets as directed by the General Counsel

    Requirements

    Education / Qualifications
    • LLB, LLD, Juris Doctorate, or recognized equivalent
    • Licensed to practice law in the US or able to practice law in the US in a corporate status under the Texas State Bar rules
    • Dual qualification in US and England or common law and civil law jurisdictions a plus
    Country Requirements / Language
    • Eligible to work in the US
    • Fluent business and legal English (oral and written)
    • Ability to communicate in Portuguese or Chinese is an advantage
    Experience / Work Skills
    • 8+ years of experience in a fast-paced environment with evolving business needs and excellent risk management judgment
    • In-depth knowledge and understanding of the technical, contractual, and commercial aspects of oil and gas operations
    • Strong communication and analytical skills with the ability to assess and articulate complex and nuanced legal issues clearly and concisely

    • Ability to manage multiple competing priorities with a "roll up your sleeves" attitude
    • Excellent interpersonal and communications skills and demonstrated ability to provide practical advice/creative solutions in collaboration with other lawyers and the business lines
    • Ability to work with people from different cultures and at different seniority levels
    • Ability to coordinate and manage negotiations in a solution-oriented and constructive fashion
