    Description

    Job Summary:

    At our firm, we combine our vast legal knowledge with practical business advice to help clients achieve their objectives in various business dealings. Our team of corporate lawyers assists commercial, financial, and industrial organizations, both public and private, on a wide range of issues.

    Responsibilities:

    We are looking for an associate with more than four years of experience in transactions, who can quickly become an integral part of our Venture Capital & Emerging Companies division.

    Main responsibilities:

    • Creating and discussing venture capital investment agreements, using NVCA forms as necessary.
    • Leading negotiations on critical terms in all venture capital investment agreements.
    • Supervising, teaching, and guiding junior colleagues in every aspect of venture capital funding.
    • Providing advice to startup companies on common operational issues, like interactions and approvals between board members and shareholders, as well as equity incentives.

    Requirements:

    • Graduated with a JD or LLM from an ABA-accredited law school.
    • Admitted to or eligible for admission to the Massachusetts bar.
    • Minimum of four years working in venture capital and emerging company law.
    • Proficient in Excel and capitalization tables.
    • Excellent written and verbal communication abilities.
    • Professional conduct in dealing with clients and colleagues.
    • Ability to prioritize tasks, meet deadlines, and juggle multiple duties.
    • Outstanding organizational skills with keen attention to specifics.
    • Aptitude for effective teamwork and collaboration.
