- Understand the priorities, legal and regulatory needs of SEC reporting and non-SEC reporting private placement and public market issuers, including ETFs and ETPs.
- Assist in maintaining and tracking disclosure, material contracts and supporting documentation.
- Assist with preparing annual, quarterly and current reports (i.e., 10-Ks, 10-Qs and 8-Ks).
- Asist in managing corporate governance, legal/compliance policies, procedures and memoranda, preparing corporate filings, and tracking authorized signatories and external board memberships.
- Assistance with maintaining standard commercial agreements and NDAs.
- Assist firm's Corporate Secretary in management of public company board of directors and other firm committees, including meeting scheduling, preparing and maintaining charters and minutes, D&O questionnaires, and orientation and training.
- Assist in tracking legal invoices and budget.
- A minimum of 5 years' experience as a paralegal or legal assistance in a big law firm or in-house capital markets, investment management or broad corporate practice.
- Bachelor's degree; paralegal certificate (preferred).
- Experience working in a fast-paced environment with a "no task is too small" mentality.
- Advanced MS Office skills including MS Word, PowerPoint, and Excel.
- Strong attention to detail, including mechanical aspects of drafting.
- Strong organizational skills, including maintenance of checklists, manages/prioritizes workload.
- Excellent drafting and writing skills.
- Strong research skills and an inquisitive mindset.
- Strong interpersonal and communication skills.
