Job Title: Paralegal

Location: Atlanta, GA (Onsite – Hybrid 3 days in a week)

Position Type: Contract position

Responsibilities:

Reviewing and marking up NDA's, archive NDA's

Manage M&A Folder []on sharepoint

Legal COE: review and marking up Sponsorship and Rental agreements.

Project CAPitalize : project management of CLM implementation, CONGA.

a. Participate in Conga demo's

b. Participate and make notes of meetings with implementation partner "Forsys" and with various internal stakeholders such as Rev. Ops.

c. Create trackers, and update project trackers

d. Folder management of CLM Sharepoint. []

Disclosure work

Section 16 filings

I take care of all filings relating to the sale of securities, grant and vesting of securities by our section 16 officers.

Forms include: Form 3 [] (initial statement of beneficial ownership), Form 4 [], Form 5 []

Act as point of contact for Attorney's and Paralegals re. section 16

Work includes, learning and managing the platform and all filings that are made on our new platform: Active Disclosure [].

Managing the relationship and making sure the billing of invoices for the service is up to date and taken care of.

Training paralegals and acting as first reviewer in most cases of the forms created by paralegals.

After filing – file Client Dubai notice:

Double-Check of Client Dubai Filings

Every two weeks, I compare our SEC filings page []) to our Client Dubai filings page []) to confirm that we've filed all our SEC filings from the preceding two weeks with Client Dubai.

Generally, we have done all, but occasionally, I have found filings that we have not yet submitted to Client Dubai. For example, third parties submit Schedule 13D and 13G filings to the SEC with respect to our stock, and when those appear on our SEC page, we need to complete related Client Dubai filings. If you find SEC filings that have not been submitted to Client Dubai, I recommend that you escalate that to the attorneys to determine next steps.

Paralegal Work:

General OGC paralegal work

1. ROC Report

a. Manage entire process together with Lisa Roberts, which includes and is not limited to:

i. Reviewing all bi-weekly reports for the respective period the ROC covers and identifying important topics to include in a draft outline

ii. Provide assistance scheduling prep meetings with executives

iii. Take notes during prep meetings and incorporating those in the draft outline

iv. Email team draft outline document for completion

v. Schedule reminders

vi. Check in with ROC contributors on progress and due date.

2. Rotation of John Zecca's Bi-Weekly reports.

3. Rule Filings

4. CFR Kits/Appeals

5. Proofreading materials / Comment letters.

6. Support Client Pro-Bono Initiative

a. Provide administrative and substantive support to the Probono council (Amma Anaman)

b. Emails and meetings to be sent out from the Client Law School

7. Manage the various sharepoint sites
