The Role

Responsibilities

  • Manage, with the supervision of the Assistant General Counsel, transactions from start to finish, including drafting NDAs and term sheets, organizing and managing the due diligence and closing processes, drafting definitive transaction documents, working crossfunctionally with business leaders to prepare for closing, executing the closings, and supporting postclosing integration processes
  • Work alongside the Senior Corporate Commercial Counsel in drafting, reviewing and negotiating contracts and ancillary agreements, including nondisclosure agreements, customer contracts, supplier and vendor agreements, IT and software agreements, bid documents, and various other documents
  • Work closely with the Strategic Investments team to drive strategic execution of business strategy and underwrite investment opportunities, including supporting mergers, acquisitions, investments, strategic partnerships and licensing agreements
  • Coordinate with regulatory and compliance team leaders to help adapt the corporate strategy to evolving regulatory and compliance standards, rules and regulations across national footprint
  • Provide corporate governance support, including preparing written consents and resolutions, and otherwise assisting in managing the corporate books and records for the Company and its subsidiaries
  • Manage corporate governance processes and work with teams of paralegals and compliance professionals to ensure strict corporate governance standards are met
  • Support the Company's subsidiary formation and management
  • Assist business clients with contract and other commercial disputes that may arise, working with appropriate legal colleagues and directly with outside counsel, as needed.
  • Provide legal advice to internal stakeholders in various departments, including procurement, sales, marketing and IT, on a variety of issues.
  • Provide practical commercial and legal advice to facilitate operational decisionmaking and strategic planning.
  • Coordinate with crossfunctional partners (Finance, Tax, HR, Regulatory) and business leadership to structure transactions and close acquisitions.
  • Support preparation of dealrelated materials for executive leadership teams and participate in meetings as necessary.
  • Assist in managing complex and sensitive projects endtoend with crossfunctional teams.
  • Perform special assignments or projects, without significant supervision, as assigned by Assistant General Counsel

Qualifications

  • JD degree and at least one state bar admission in good standing.
  • A minimum of 3 years of experience in general corporate matters, with a demonstrable history of supporting mergers and acquisitions, investments, partnerships and commercial contract negotiations.
  • A desire to work in a fastpaced, highenergy environment with exceptional organizational and planning skills, capable of handling multiple highvisibility projects simultaneously.
  • Strong working knowledge of corporate governance rules and standards.
  • Strong negotiation skills and the ability to work collaboratively and effectively with internal and external stakeholders.
  • Demonstrated business and financial acumen with a voracious learning mindset.
  • Excellent communication skills
