    Description
    My international bank client is looking for an experienced financial services regulatory and transactional lawyer to advise on key regulatory, transformational and business change projects globally impacting their business. Responsibilities are expected to evolve over time having regard for regulatory, commercial and technological developments impacting on ICG, but initial responsibilities are expected to include:
    Responsibilities:
    • Advise and provide corporate transactional (predominately securities, M&A, VC/private equity, corporate governance, etc.) counsel to the Strategic Infrastructure Investment Group to help evaluate investments in start-ups and established companies, including, but not limited to, those in the blockchain and distributed ledger and FinTech spaces. Particular transactions may or may not be with a consortium of other investors;
    • advise on all stages of investments, including due diligence, valuation, transaction documentation (including drafting, reviewing and negotiating NDAs, term sheets, stock purchase agreements, voting agreements, investor rights agreements, ROFR and co-sale agreements, etc.);
    • participate in ongoing review and maintenance of portfolio companies (e.g., advise on shareholder and board consents) and exits via IPOs, follow-on transactions, M&A transactions and private sales;
    • managing outside counsel as needed;
    • provide advice and counsel to Citi Velocity, Citi's global flagship multimedia web and mobile platform where institutional clients access, among other things, proprietary research, market commentary, online analytical tools and execute trades;
    • provide legal advice to business, technology, operations, compliance and marketing executives on all stages of product development and also coordinate a global team of lawyers and compliance professionals who help cover the platform;
    • provide legal advice to the newly formed Digital Solutions Product Team, a sister group to Citi Velocity that provides consulting, guidance and research concerning new technologies as they relate to the global Markets business.
    • The group provides ICG businesses with insight and proof-of-concept demonstrations of new technologies and business workflows that promise to increase revenues while reducing expenses; and
    • advise Digital Solutions as it conducts research into user interfaces, data usage and data science, AI, machine learning, NLP and other emerging technologies.

    Qualifications:

    • NY Bar
    • Ability to work 3 days a week in their Manhattan office
    • Experience working with a major bank is preferred but not required (not limited to in-house but could be representing from the firm side)


    Further Details:

    • $130/hr
    • Anticipated start date: Immediately
    • Duration: 5 months.
    • Disposition: Hybrid to NYC
    • Hours: 40 a week
