- Assisting in managing corporate governance tasks for around 130 global subsidiaries of Boston Scientific, including maintaining lists of directors and officers.
- Collaborating with Finance and Tax departments to review subsidiary financial statements and work with external legal counsel on preparing resolutions and other legal documentation for board and shareholder approvals.
- Coordinating with the Treasury Department on banking authority delegation and with local business teams on general business authority delegation to local managers.
- Ensuring compliance with local UBO filing requirements and supporting Treasury and business teams on KYC disclosures.
- Working with Tax and business teams on the legal aspects of proposed intragroup restructurings, capitalizations, and dividends.
- Assisting in the establishment and initial operations of new foreign subsidiaries to facilitate Boston Scientific's global expansion.
- Participating in activities for the Legal Entity Rationalization Project to eliminate dormant legal entities in the group through mergers or liquidations.
- Aiding Tax in preparing intragroup agreements that detail relationships between various group entities (e.g., distributorship, services, licensing).
- Supporting business teams and Tax in integrating newly acquired businesses into Boston Scientific's structure through local business transfer agreements, entity consolidations, and distributor network integration.
- Assisting Corporate Legal colleagues in the M&A group with international aspects when required.
- Representing Corporate Legal on cross-functional project teams for various global projects.
- Juris Doctorate
- Five to seven years of extensive experience in global corporate legal matters at a leading law firm and/or multinational corporation, with a focus on international issues.
- Strong attention to detail, proficiency in legal research and writing, effective communication, and project management skills.
- Process-driven, adept at multitasking, team-oriented, capable of working autonomously with minimal supervision, and committed to timely and efficient deliverables.
- Demonstrated expertise in complex multi-jurisdictional transactions, including the integration of acquired global businesses.

About the Position:
Playing a vital role in the Corporate Legal team, you will collaborate closely with the Senior Managing Counsel, Global Corporate Operations, fellow Corporate Legal team members, and other stakeholders to oversee various corporate governance matters for Boston Scientific's subsidiaries, group structuring, acquisition integration activities, and global legal support.
