- Assists the General Counsel and Corporate Secretary with legal matters related to ASUEP and its subsidiaries with particular focus on advising ASU Foundation concerning charitable contributions and estate and planned gifts
- Provides legal advice, counsel, services, and consultation for business transactions, including corporate gifts and charitable dispositions
- Provides estate and gift planning guidance to ASU Foundation development officers, including participating in donor engagement activities as necessary
- Partners with the ASU Foundation to provide ongoing estate and gift planning education and training for development officers
- Conducts research, negotiation and management of contracts for unique assets such as gifted royalties and copyrights
- Provides advice concerning changes in law and practice governing tax exempt, non-profit organizations, including IRS regulations concerning charitable gift acknowledgement, gifts of real estate, and unrelated business income tax
- Proactively identifies and mitigates legal risk to protect ASUEP from undue legal exposure, liability, and financial loss, all the while counseling and working to facilitate the achievement of strategic and operational objectives
- Assists with management of legal processes and policies that govern ASUEP operations
- Assists the General Counsel and Corporate Secretary with the coordination and preparation of internal agreements governing ASUEP subsidiaries
- Performs other duties commensurate with the position and special projects as assigned by the General Counsel and Corporate Secretary
- Knowledge and skill in drafting, reviewing, and negotiating charitable agreements and nonprofit legal documents
- Knowledge of federal and state laws that govern ASUEP and its subsidiaries
- Ability to develop and deliver educational materials to inform development officers and potential donors about planned giving options
- Excellent interpersonal skills, along with the ability to communicate effectively with others in writing and verbally at all levels of the organization
- Ability to establish and maintain strong relationships within the organization's key stakeholders, external partners and across all subsidiaries
- Ability to maintain a high degree of confidentiality and responsibility regarding information related to Enterprise Partners, its subsidiaries, and Arizona State University business and donor prospect information
- Ability to effectively manage complex situations involving numerous and sometimes competing constituencies
- Attention to detail and thoroughness in completing assigned duties and use of digital tools to communicate same
- Highly organized
- Adept at navigating complex environments with evolving priorities and communication plans
- J.D. from an ABA accredited law school
- Seven (7) years hands-on experience in a similar role within a private, university, corporate, government, and/or nonprofit environment
- License to practice law in Arizona (upon exam, motion or in-house designation) to be obtained within eight (8) months of employment in role
- Broad-based transactional legal experience; significant experience in planned gifts, charitable law and contract negotiation required

Associate General Counsel & Planned Giving Advisor
ASU Enterprise Partners is an efficient network of highly skilled teams; it is comprised of a full complement of professional services that work in concert with specialized business units to provide full resources and extend Arizona State University's ability to achieve its charter.
Under the direction of the General Counsel and Corporate Secretary, this role is responsible for actively engaging in the full range of legal services to successfully support and drive forward ASU Enterprise Partners (ASUEP) and its subsidiaries. This role includes legal representation and advisement with particular service to Arizona State University Foundation for A New American University (ASUF) in areas such as charitable law, trusts and estates, charitable instruments and planned gifts. This role will also provide legal advice concerning business operations, contract law, nonprofit governance, and business transactions on an as-needed basis.
