***This position will report to the Associate General Counsel, with regular interaction with the Chief Legal Officer and VP-Tax, and serve as critical legal support for PrimeSource.


ESSENTIAL FUNCTIONS

  • Work closely with the Chief Legal Officer and Associate General Counsel to provide support for a wide variety of business functions.
  • Work with teams across the Company, such as Tax, Finance, Human Resources, Treasury, Information Technology, Global Sourcing and Sales on various projects and initiatives.
  • Maintain list of Officers and Directors and liaison with Tax Department to file annual reports.
  • Draft written consents and monitor domestic and foreign entity compliance.
  • Liaison with various departments to resolve regulatory and compliance matters.
  • Conduct legal research on matters including transactional, IP and regulatory requests.
  • Assist Real Estate team with revisions to Lease Agreements
  • Assist in protection and maintenance of trademarks and patents, as well as other IP issues.
  • Coordinate with outside counsel on intellectual property and other matters.
  • Correspond with internal clients on trademark inquiries, obtaining evidence and instructions, and advising on proper use of trademarks.
  • Support drafting and revision of commercial contracts.
  • Contribute to prelitigation dispute resolution, including collecting, reviewing and producing documents.
  • Actively identify and pursue opportunities for improvements in existing processes, and work with teams to drive implementations as needed.
  • Drafting legal correspondence, such as cease & desist letters and other communications with direction of AGC and CLO
  • Maintaining Legal Department file organization, especially including the Company's contracts
  • Assist in filing, facilitating, and resolving insurance claims

QUALIFICATIONS

EDUCATION:
Bachelors degree or equivalent from an accredited four-year college or university.


REQUIRED SKILLS & EXPERIENCE

  • At least 4+ years of corporate paralegal experience at a law firm or corporation is required.
  • Previous inhouse experience is desirable, but not an absolute requirement.
  • Must be familiar with domestic entity compliance and filing of annual reports in a variety of U.S. jurisdictions.
  • IP experience, preferably with trademarks, is preferred.
  • Familiarity with IP terminology and processes required.
  • Strong research and analytical skills are required.
  • Experience drafting and negotiating contracts is a plus.
  • Skilled in use of MS Office, especially including Outlook, Word, Excel and Teams.
  • Familiarity with or willingness to learn contract management, service of process and ebilling solutions is required.
  • Proficiency with Agiloft and/or DocuSign is a plus.

CERTIFICATIONS & LICENSES:
Paralegal certificate from an accredited institution beneficial.


SCHEDULE
Hybrid Schedule.

Mondays and Fridays are work-from-home, with a general expectation of being in the office at the Company's Irving headquarters on Tuesday, Wednesday and Thursday (with some flexibility around in-office hours on those days).

The CLO and AGC views work-life balance as a high priority and will be very respectful of evenings and weekends.

Flexibility on schedule can be accommodated (e.g., school drop-offs or pick-ups). Pay is competitive.
