Your Responsibilities:


  • Providing guidance on matters related to capital markets and corporate law. (For example, drafting resolutions, offering restructuring advice and implementing it, creating intercompany agreements, articles of association, rules of procedure, powers of attorney, etc.)
  • Planning and overseeing general meetings (preparing documents, creating agendas, shared responsibility for conducting the meeting)
  • Executing legal aspects of joint ventures and M&A transactions
  • Implementing the company's strategic focus on innovative business areas and future strategies
  • Assisting with the company's international expansion efforts (providing advice and establishing new subsidiaries, branches, and joint ventures with strategic partners)
  • Participating in management reports, preparing documents, and conducting inhouse legal training (e.g. compliance, insider law, joint ventures, etc.)
  • Communicating with financial regulatory authorities in Germany and the United States, including monitoring compliance with capital market laws (such as insider reports, executive trading, etc.)
  • Establishing and maintaining relationships with senior management, business functions, and customers to make informed business decisions
  • Identifying, monitoring, and mitigating legal risks, as well as overseeing the corporate risk management system (external legal advisors, notaries, authorities).

Requirements:


  • Completed legal education with the 2nd state examination or equivalent qualification
  • Demonstrated international focus in legal education or professional experience abroad
  • Several years of professional experience and extensive knowledge of corporate law, commercial law; knowledge of US capital markets law is
