Job Summary:


The Contract Analyst, Commercial Development will coordinate the development of commercial Confidentiality Agreements (CDA's) / Non-Disclosure Agreements (NDA's) and assist with contract pricing, compliance and contract analysis.


Essential Duties and Responsibilities:


  • Non-Disclosure Agreements (NDA's/CDA's)
  • Work in conjunction with the NDA/CDA analyst to support execution of the agreements with the Commercial Team. including assist with CDA research and development.
  • Notify global sales teams regarding CDA termination deadlines and coordinate renewals.
  • Draft, edit and negotiate various contracts including Confidentiality Agreements (CDA's/NDA's), Material Transfer Agreement, Master Service Agreements (MSA) and related amendments.
  • Attend meetings with External Customers and Sales colleagues for to resolve questions and find resolution to bring CDA's/NDA's to execution.
  • Coordinate with global commercial teams to ensure CDA contract requirements are being addressed.
  • Interface with Law Department to address exceptions to standard terms
  • Recommend updates to company standard templates and draft new templates as needed by the business.
  • Notify commercial team regarding CDA termination deadlines and coordinate renewals.
  • Provide scheduled reporting and ad hoc reporting as required.
  • Handle organization and maintenance of company contracts in the West's Contract Management System.

Contract Compliance:
Ensure global compliance of commercial contracts with all terms.

  • Ensure upload of all key parameters in the West Contract Repository.
  • Conduct annual contract review with reporting to appropriate stakeholders.
  • Track special provisions and exceptions and confirm compliance with Finance and Commercial Team.
  • Support new contract preparation:
  • Prepare presentations, sales and margin reports and visual aids to support contract development.
  • Provide data analysis to support global contract negotiation and execution.
  • Assist with
Contract development and negotiations, review and signing process as required by the Delegation of Authority Policy

  • Support Contract pricing:
  • Support implementation of contract pricing mechanism elements including predictive indexes, milestone achievements, and base cost pass throughs.
  • Support integration of contract pricing elements prepared by the Pricing Team to support execution of commercial contracts.
  • System implementation: Assist with contract management system implementation and new process development.
  • Assist with
analyses and processes related to commercial contract development, pricing and rebates

  • Provides a competent and professional interface with internal and external customers.
  • Complete business driven departmental projects as assigned.
  • Other duties as assigned

Basic Qualifications:


  • Education or

Equivalent Experience:
Bachelor's in Business or Paralegal Studies/similar experience in the field of contract management, pharmaceutical industry preferred.

  • Experience**:35 years of experience

  • Strong interpersonal skills and highly effective oral and written communication skills required due to global / crossfunctional interaction.
  • Intermediate to advanced knowledge and experience with Microsoft Office, SharePoint and DocuSign.

  • Ability to identify process improvements that have a direct impact on the work performed. Uses best practices and knowledge of internal or external business issues to improve these processes.
