    Description

    L.K. Jordan & Associates is seeking a highly motivated and experienced Corporate Paralegal for our client, a dynamic and innovative law firm, located in Austin, TX. In this role you will play a pivotal role in assisting clients and attorneys with all facets of corporate law including venture capital financings, mergers and acquisitions, and general corporate and transactional matters.

    Preferred Qualifications

    • Extensive experience with corporate and securities laws, and knowledge of 83(b) tax issues
    • High-level of responsibility for all aspects of general corporate work including formations, document drafting, preparation of filings, creation, and maintenance of all client records
    • Ability to analyze specific client issues and identify problems and solutions
    • Draft minutes, board/manager and shareholder/member resolutions, waivers, and private company shareholder/member meeting documents
    • Substantial role in transaction management, including financings, mergers and acquisitions
    • Manage certain transactions with private financings and corporate acquisitions, including preparation and distribution of key documents and organization of completed closing records
    • Responsible for private company incentive plan administration
    • Draft all stock/unit purchase and stock/unit option agreements and maintain all plan documentation records
    • Ability to perform complex analysis and problem solving
    • Review due diligence materials and prepare due diligence memos

    Requirements

    • 5-7 years of corporate paralegal experience
    • Paralegal certification and/or degree from accredited college or university is preferred
    • Ability to prioritize projects
    • Proficient in all Microsoft applications (including Word, Excel, PowerPoint, Outlook), Westlaw, DocuSign and document management software

    *Competitive salary commensurate with experience ranges from $115,000 - $125,000.
