Summary

  • Corporate Paralegal will play a crucial role in corporate legal matters. Working closely with the ORLA team, they assist in various tasks related to corporate law. Their responsibilities include drafting legal documents such as contracts and agreements, conducting legal research, and preparing court filings. Additionally, the Corporate Paralegal will organize case files, stay updated on legal changes, and analyze legislation affecting the company. They contribute significantly to corporate transactions and ensure legal compliance within the organization.

Essential Duties and Responsibilities:


  • Create filing system and maintain same for all corporate records.
  • Draft board and shareholder resolutions, maintain records associated with BOD meetings, manage BOD presentation timelines and creation of BOD slides.
  • Assists with due diligence procedures, online and factual searches, organization of due diligence materials.
  • Manage corporate and subsidiary entity organizational charts, documentation related to entity Officer and Director Structure.
  • Manage enterprise risk register and quarterly report on same.
  • Responsible for maintenance of corporate lease transactions. Responsible to use template to create real property leases as appropriate or necessary at the direction of counsel.
  • As requested by counsel, draft agreements and documents using template agreements, examples include ICU Agreements, ICU Buy-Back Agreements, Lease Agreements,
  • Coordinates and manages transactional closing legal and compliance due diligence including creation and maintenance of postclose requirements, transition or notification of contractual assignments including real property, overseeing Compliance to ensure all licenses are properly transitioned.
  • Create Corporate Records filing system and maintain same.
  • Annually prepare Corporate Policy Underwriting Applications
  • Prepares all documents required to form and maintain corporations, partnerships and limited liability companies.
  • Prepares documentation for amendments, withdrawals, mergers and dissolutions of corporations, partnerships and limited liability companies.
  • Mange all intellectual property owned or applied for by the Company
  • Prepares qualification documents for foreign jurisdictions.
  • Drafts secretary's certificates, bylaws, operating agreements and resolutions.
  • Maintains entity minute books and entity ledgers for various clients.
  • Redlines and proofreads documents.
  • Conducts research and performs library and online searches; retrieves reference materials from outside libraries that may not be readily available.

Education and Experience

  • 5+ years corporate and securities paralegal experience with a large private or publicly traded organization
  • Bachelor's degree and/or Paralegal Certificate

Skills

  • Acute attention to detail and ability to manage firm deadlines
  • Maintain the highest level of confidentiality, integrity and business ethics
  • Proficient in MS Office Suite (specifically Word, Excel and PowerPoint) and SharePoint and Westlaw or Lexis
  • Excellent analytical and organizational skills and demonstrated followthrough on project management, including ability to anticipate needs through knowledge of past transactions.
  • Exceptional Organization Skills
  • Excellent teammate with experience partnering with and supporting paralegal peer groups
  • Strong communications skills, both verbal and written

Physical Demands
