- Oversee and manage all aspects of securities filings, including annual, quarterly, and ad-hoc reports, ensuring compliance with regulatory requirements such as SEC regulations and stock exchange rules.
- Monitor changes in securities laws and regulations and advise the executive team on compliance matters.
- Collaborate with internal stakeholders, including finance and investor relations, to ensure accurate and timely disclosure of material information.
- Provide legal support and guidance on business development initiatives, including mergers and acquisitions, licensing agreements, partnerships, and joint ventures.
- Advise the board of directors and senior management on corporate governance best practices and compliance with corporate governance regulations.
- Manage board and committee meetings, including preparation of agendas, materials, and minutes.
- Ensure compliance with corporate governance policies and procedures, including insider trading policies and codes of conduct.
- Identify and assess legal risks associated with the company's operations and develop strategies to mitigate such risks.
- Provide proactive legal advice and guidance to internal stakeholders on risk management matters.
- Juris Doctor (J.D.) degree from an accredited law school and active membership in good standing with at least one state.
- Minimum of 10 years of experience practicing corporate law in the biotechnology or pharmaceutical industry.
- Extensive experience in securities law compliance, including SEC reporting and disclosure requirements.
- Proven track record of leading and executing complex business development transactions.
- Strong understanding of corporate governance principles and regulatory requirements.
- Excellent drafting, negotiation, and communication skills.
- Ability to thrive in a fast-paced and dynamic environment, with the flexibility to adapt to changing priorities.
- Strong leadership and team management skills, with the ability to inspire and motivate others.
