Axens headquarter is registered in France with subsidiaries worldwide but this position will be assigned to
Axens North America, Inc. (Axens NA), with main place of business located in Houston, TX.


Job Summary

JOB DUTIES/Responsibilities

  • Assisting the

Commercial Division:

drafting and redlining contractual documentation such as Confidentiality Agreement, Master Services Agreement for the Supply of Goods or Services, Terms and Conditions for Sale or Purchase, Assignment Agreements, License Agreements, construction/EPC contracts, Stand-by Letters of Credit, Memorandum of Understanding, Letter of Intent etc.

and leading contractual negotiations;

  • Assisting the
Project management teams during project execution: meeting with the project managers when needed for assessment of potential delay penalties on their projects, review of change orders in scope, price and schedule, follow-up on past due payments with clients, managing projects suspension or termination, full and final settlements etc.;

  • Assist Procurement in their key purchases for the projects awarded to Axens or in their claims with vendors (back charges etc.); Active negotiation with US and international vendors and contractors might be expected;
  • Assist the Supply Chain (Axens' manufacturing plants) should they need toll manufacturing contracts, warehouse agreements, product supply agreements, Master agreements etc. to be put in place;

Education

  • Law degree required (J.D. and/or LL.M.)
  • Current active admission to a U.S Bar required

Work Experience

  • Commercial transactional or project experience as well as contractual negotiation

Required SKILLS/ABILITIES:


  • Ability to effectively manage priorities while meeting deadlines.
  • Ability to interface with internal stakeholders with commercial or engineering background (i.e. nonlawyers).
  • Ability to work independently with minimum supervision, while being a team player and a supportive colleague.
  • Excellent written and verbal communication skills.
  • Motivated, curious, committed and accountable.
