Job Title:

Corporate Secretary


What you will bring:


As our Corporate Secretary, you'll play a pivotal role in ensuring the smooth functioning of our Board of Directors and maintaining effective communication with our shareholders.

From managing meeting logistics to drafting accurate meeting minutes, you'll be at the heart of our governance process.


Essential Duties:


  • Act as the primary liaison between our Board of Directors, shareholders, and executive team, providing seamless administrative support.
  • Prepare and distribute accurate and timely minutes for Board and Committee meetings, capturing key discussions and decisions.
  • Oversee the annual proxy process and tasks related to the Annual Meeting, ensuring a smooth and successful event.
  • Collaborate with Executive Management to support Board directives and strategic initiatives.
  • Maintain filing and recordkeeping systems for corporate documentation, ensuring compliance with regulatory requirements.
  • Assemble documents and reports for meeting preparation, participating in special projects as directed.
  • Facilitate auditor and regulator requests for related audits and examinations as necessary.

Non-Essential Duties:


  • Perform other related duties in support of the Bank's objectives, policies, and procedures, including BSA, AML, OFAC, and cybersecurity compliance.

Requirements:


Basic Qualifications/Skills:


  • Completion of an ABAapproved paralegal education program, bachelor's degree (BA/BS), or equivalent experience.
  • Minimum of seven (7) years' experience in executivelevel or legal administrative roles preferred
  • Current driver's license and a vehicle with appropriate insurance coverage
  • Strong interpersonal skills, written and verbal communication skills, with the ability to represent the organization professionally.
  • Excellent project management, organizational, and problemsolving abilities.
  • Discretionary judgment, poise, and diplomacy to represent the Bank to directors, shareholders, and client banks.
  • Proficiency in new software technologies and the ability to adapt to changing priorities.
  • Knowledge of Microsoft Office (Word, Excel, and PowerPoint)
