- Assist in all phases of mergers, acquisitions, and securities transactions, including due diligence, negotiation, and documentation.
- Draft and review transactional documents, including merger agreements, stock purchase agreements, and disclosure documents.
- Conduct legal research and analysis on complex finance and securities issues.
- Assist clients in navigating regulatory compliance matters related to securities laws and stock exchange regulations.
- Coordinate with internal and external parties, including clients, counterparties, and regulatory agencies, to facilitate transactions.
- Provide strategic advice and counsel to clients on corporate governance and transactional matters.
- Stay informed about market trends and regulatory developments affecting finance and securities transactions.
- Juris Doctor (J.D.) degree from an accredited law school.
- Admission to the state bar and good standing with the state bar association.
- 2-4 years of experience in finance, securities, and mergers and acquisitions at a reputable law firm or financial institution.
- Strong understanding of corporate finance principles, securities regulations, and M&A transactions.
- Excellent drafting and negotiation skills with attention to detail.
- Ability to manage multiple projects simultaneously and meet deadlines in a fast-paced environment.
- Strong analytical and problem-solving abilities.
- Excellent interpersonal and communication skills.
