Contract manager

The Contract Manager will work with the Project Procurement Director for the designated project starting from pre-selection of potential bidders all the way through follow-up on projects for post award contract management, assurance of contract compliance, management of contract change, contract close-out and claims management, in association with OCI.

Essential Job Functions
Review contractual documents or elevate for legal review and approval from in-house attorneys.

Assist in the development of contract management processes, procedures and related forms that will be cascaded to numerous OCI Projects.

Assist with the preparation and review of requests for proposals (RFP's), routine vendor agreements such as Master Services Agreements, task orders, change orders, contract amendments, settlement agreements and standardized contract forms.

Work collaboratively with the project team members and procurement team to develop a process that facilitates the efficient review and approval of contracts to accommodate the schedule driven project.

Works with all internal stakeholders to ensure there is a "one team" voice. Collaborate with the site project team for any contractual issues, and coordinates with external interfaces.
Ensure any contractual issues are well documented and filed to support company's positions for claims and any further escalations.

Close communication with the site project control team for any progress or cost deviations that might lead to breach of contract or inability of the contractor to meet their contractual obligations.

Assists with review of contracts including determining which contracts require specialized legal review, obtaining necessary information from commercial teams to further such review, and providing legal with recommendations on contract specific issues Evaluate requests from project teams for document drafting, determine which requests can be handled directly and which need more specialized involvement by the legal team
Lead assigned project post award management of all contracts - all contract management plans, commercial risk management, contract change and claims management
Assists with initial review of and/or develop drafts of more complicated agreements.
Identify problematic provisions of agreements; seek resolution by consulting with pertinent commercial team
Coordinate with all disciplines and set meetings to ensure contract compliance
Negotiating contractual issues directly with vendors/contractors until consensus between the parties has been reached; provide redlined recommendations to proposed contract documents
Consult and negotiate with commercial providers on terms of agreement
Consult with insurance team to ensure insurance coverage is sufficient to mitigate the risks inherent in the services to be provided in an agreement
Assist with responses to document production/research requests (both internally and externally generated)
Determine that proper approval for restrictive covenants is obtained before a contract is executed
Prepare formal correspondence to contractors in collaboration with Project Director and in-house legal counsel
Provide advice and guidance to team members relating to contract terms and conditions, OCI's obligations and claims avoidance
Identify opportunities to improve processes and procedures
Perform other contract administration tasks as assigned by the Sr. Contract Manager

QUALIFICATIONS
Licenses, Certifications and/or Registrations
None Required

Education, Experience, and/or Training
BA / BS degree or equivalent education
Minimum of ten years of direct contract management experience in a fast-paced corporate / large scale project environment
Familiarity with various forms of complex business agreements, ability to read, interpret and identify pertinent information from agreements/contracts
Ability to work independently with mínimal supervision
Self-starter
Ability to keep himself/herself busy and initiate projects
Strong attention to detail
Ability to read and comprehend complicated commercial and legal documents
Good organizational, planning and implementation skills, including the ability to coordinate and work in a team environment
Ability to manage multiple projects with shifting priorities
Ability to communicate effectively with all levels of personnel, both within the Company and outside firms
Ability to handle several requests and receipt of documents in various forms from various sources at the same time
Strong time management skills
Minimum 10 years' experience working in the industry required
Bachelor's degree or equivalent required
Experience in the chemical or oil/energy industry preferred
