In-House Corporate Legal Counsel/Assistant General CounselOverview:
Responsibilities:
- Draft, review, negotiate, and manage a wide range of contracts and agreements, including, but not limited to, master service agreements, purchase orders, vendor contracts, and licensing agreements.
- Provide legal advice and guidance on corporate governance matters, ensuring compliance with relevant regulations and internal policies.
- Collaborate closely with operational teams to safeguard the company's interests and facilitate its success.
- Engage in executive team leadership meetings.
- Oversee all aspects of licensing including, but not limited to, business and contractor licenses to ensure company compliance.
- Develop and implement compliance programs and policies to ensure adherence to applicable laws and regulations.
- Assist in investigations and litigation matters, including overseeing external counsel, conducting investigations, and preparing legal strategies.
- Collaborate with cross-functional teams, including finance, human resources, and operations, to address legal issues and achieve business objectives.
- Stay updated on changes in relevant laws, regulations, and industry best practices to proactively advise the organization on potential impacts.
- Train and educate internal stakeholders on legal matters, compliance requirements, and risk management strategies.
- Maintain accurate and organized legal documentation and records.
Qualifications:
- Juris Doctor (J.R.) degree from an accredited law school and active membership in good standing with the relevant state bar association.
- Minimum of 2-5 years of experience practicing law, preferably in a corporate legal department or law firm with a focus on contracts, risk management, compliance, and litigation.
- Strong understanding of contract law, corporate governance principles, regulatory compliance, and litigation procedures.
- Excellent negotiation, drafting, and communication skills, with the ability to convey complex legal concepts in a clear and concise manner.
- Proven ability to work independently, prioritize tasks, and manage multiple projects simultaneously in a fast-paced environment.
- Sound judgement, analytical thinking, and problem-solving abilities, with a proactive and solutions-oriented approach,
- High level of integrity, professionalism, and confidentiality.
- Experience working with cross-functional teams and collaborating effectively with internal and external stakeholders.
- Additional certifications or training in relevant areas of law or compliance are a plus.
