    Description

    Currently hiring for a lateral transactional attorney with experience in capital raises. Ideal attorney would have both defense contracting (GovCon - dealing with munitions and gear sold to foreign governments that are US allies) and capital raise experience.

    1. Regulatory Compliance: Ensuring that all capital-raising activities comply with relevant securities laws and regulations, such as the Securities Act of 1933, the Securities Exchange Act of 1934, and other federal and state securities laws.
    2. Documentation Preparation: Drafting and reviewing legal documents essential for capital raising, including private placement memoranda (PPMs), offering documents, subscription agreements, shareholder agreements, and other related contracts.
    3. Due Diligence: Conducting legal due diligence to assess the risks associated with the capital raise, including reviewing financial records, contracts, intellectual property rights, and other relevant documents.
    4. Negotiation: Negotiating terms with investors, underwriters, and other parties involved in the capital raise, ensuring that the interests of the company and its stakeholders are protected.
    5. Compliance Monitoring: Monitoring ongoing compliance with securities laws and regulations throughout the capital raise process and providing guidance on any necessary disclosures or filings.
    6. Risk Management: Identifying potential legal risks and developing strategies to mitigate them, such as implementing appropriate disclosure practices and internal controls.
    7. Transaction Management: Coordinating with other professionals involved in the capital raise process, such as investment bankers, accountants, and regulatory agencies, to facilitate a smooth and successful transaction.
    8. Legal Advice: Providing legal advice and guidance to the company's management team and board of directors regarding the structure and execution of the capital raise, as well as any legal implications or risks involved.

    Virginia License required- Open to Richmond or Norfolk office locations, excellent salary and benefits package.
