Position Description:


This position will also be responsible for records management, legal holds and data privacy programs and managing internal due diligence processes, insurance renewals and other duties as assigned.

This position will also provide support to the attorney supporting the bank's commercial credit department.


Day-to Day-Duties and Responsibilities:

  • Perform additional tasks as necessary to fulfill the functions of the Legal department. This may include responsibility for legal support of the Bank's records management, legal holds and data privacy programs, responding to internal due diligence requests and oversight of the Bank's insurance coverages. Assist in the analysis of new regulatory requirements and draft comments to proposed rules, and develop policies, procedures and other documentation.
  • Upon request, provide backup legal s upport to the Credit department in structuring, negotiating and documenting complex commercial agricultural and agribusiness lending transactions, such as loans to family and large production operations, including farms, ranches, feedlots, dairies, and processing units. This may include drafting opinions on compliance of loans and loan participations with the scope and eligibility rules, as well as supporting the bank's General Finance Agreements, Master Participation Agreements and other related credit support tasks.

This position requires:

  • Bachelor's degree and Juris Doctor Degree or equivalent and licensed to practice law in the State of Texas with years of related experience in commercial loan documentation
  • Experience drafting and negotiating complex commercial loan documentation is required
  • Support and/or familiarity with commercial or consumer lending systems technology is preferred
  • Consumer lending experience is helpful but does not substitute for commercial lending requirements
  • Familiarity with agricultural and agribusiness lending and/or previous work experience within a regulated bank or financial services institution is beneficial.
  • Experience drafting and negotiating complex commercial loan documentation is required

  • Support of and/or familiarity with commercial or consumer lending and loan documentation technology is preferred.
  • Familiarity with agricultural lending and the Farm Credit Act and regulations is preferred.
  • Excellent oral and written communication skills and the ability to develop positive working relationships are required.
