ESSENTIAL JOB FUNCTIONS:


Independently coordinates and manages the contract execution process, from receipt of the contract request through supplier signature, including contract entry and administration in our Coupa Contract Lifecycle Management system.

Interfaces with internal and external business partners and Kura legal department. Performs review and quality check of contract requests, gathers additional required information from internal business partner. Chooses and populates appropriate templates, performs contract negotiations, manages redlines and version control of draft contracts. Ensures compliance with company policies and procedures in processing contract requests and engages appropriate support as needed.

Types of contracts the Contracts Manager, Supplier Contracts will process include (but are not limited to) Master Services Agreements and corresponding Work Orders and Change Orders, Material Transfer Agreements, Consulting Agreements, Sponsored Research Agreements, certain licensing and software agreements and other general related agreements.


  • Demonstrates a sound understanding of contract negotiation and contract administration process
  • Works within Coupa Lifecycle Management system to enter contact requests and contract metadata and perform contract negotiation.
  • Facilitates negotiation and preparation of Supplier contracts, and related documents. Reviews contracts for completeness and accuracy and ensures that corrections are appropriately made and documented.
  • Manages the Fair Market Value process as needed
  • Anticipates risk/benefit issues and troubleshoots to resolve any concerns.
  • Active Contract Administration of ongoing Supplier contracts; performs followup on all outstanding contract issues.
  • Facilitates the execution of Suppler contracts by company signatories.
  • Serves as communication liaison between Supplier contracts staff and internal and external customers. Provides functional guidance and keeps internal and external teams aware of all contract statuses or pending issues.

JOB SPECIFICATIONS:


  • BA/BS degree and/or Paralegal certificate in related field or equivalent combination of education and experience
  • Minimum of 4 years experience in Commercial Contracting in Clinical Research, Biotechnology, or Pharmaceutical industry is required.
  • Basic contract formation, preparation, review and negotiation skills are required
  • Ability to interpret basic contract provisions and determine acceptability consistent with Legal department guidance and company policy is required
  • Ability to work in a fastpaced environment
  • Strong analytical skills and attention to detail is required
  • Ability to critically read documents and interpret/draw conclusion from the documents
  • Must have attention to detail and strong negotiation, project management, communication, organizational, documentation, and interpersonal skills
  • Strong skills in Microsoft Office Suite
  • Ability to actively prioritize multiple tasks to meet deadlines in a dynamic environment
  • Ability to identify risk and propose solutions.
  • Travel may be required up to 10%
