Great opportunity for experienced paralegal desiring responsibility and opportunity for growth in a rapidly growing niche legal practice Our boutique law firm, which focuses on representing dentists and veterinarians across the country in a full range of business matters, seeks a highly motivated and experienced full-time (40 hours/week, Monday - Friday) paralegal for its Philadelphia office to work as part of our legal team.
In addition to sophisticated and interesting work, the firm offers a truly collegial atmosphere and real encouragement of community involvement.
Duties and responsibilities include, among other things:
- Prepare initial drafts and revise Letters of Intent, Employment Agreements, Asset Purchase Agreements, and more.
- Perform entity formation, prepare operating agreements and obtain EINs; Research zoning, coordinate UCC searches and handle other matters relating to dental and veterinary practice startups and acquisitions; Communicate directly with clients to obtain necessary information and advise on the status of such matters.
- Collaborate with supervising attorneys and clients to perform due diligence including the collection and evaluation of due diligence materials in connection with business and real estate transactions.
- Support attorneys in connection with the closing of transactions including the preparation of exhibits and schedules as well as the coordination of other logístical matters.
- Act as liaison between attorneys and various third parties including insurance providers, CPAs, lenders and brokers.
