    Description

    My client, a reputable franchise company in the food & beverage space, is looking to bring on an Assistant General Counsel specializing in Real Estate. This person will play a pivotal role in providing legal support and guidance to the organization in the dynamic and fast-paced industry. Your expertise will be instrumental in navigating complex real estate transactions, lease agreements, and franchise-related legal matters. Reporting directly to the General Counsel, you will collaborate closely with various internal stakeholders to ensure compliance with legal regulations, mitigate risks, and facilitate strategic business decisions.

    Responsibilities:

    1. Real Estate Transactions: Lead and oversee all aspects of real estate transactions, including property acquisitions, dispositions, leases, and development projects.
    2. Lease Negotiations: Draft, review, and negotiate commercial lease agreements, ensuring favorable terms and compliance with company policies and legal requirements.
    3. Franchise Compliance: Provide legal guidance and support to the franchise development team on real estate matters related to franchise agreements, site selection, and lease negotiations.
    4. Due Diligence: Conduct thorough due diligence on prospective real estate transactions, identifying potential risks and proposing mitigation strategies.
    5. Regulatory Compliance: Stay abreast of laws and regulations governing real estate transactions, food and beverage operations, and franchising to ensure compliance and mitigate legal risks.
    6. Litigation Management: Collaborate with external counsel to manage real estate-related litigation matters, including landlord-tenant disputes, zoning issues, and property rights disputes.
    7. Contract Management: Maintain an organized system for tracking and managing real estate contracts, leases, and related documents.
    8. Risk Assessment: Assess legal risks associated with real estate transactions and provide proactive advice to mitigate risks and protect the interests of the organization.
    9. Cross-Functional Collaboration: Partner with internal departments such as operations, finance, and development to support business initiatives and provide legal guidance on real estate matters.
    10. Training and Education: Conduct training sessions and develop educational materials to enhance the organization's understanding of real estate legal issues and compliance requirements.

    Qualifications:

    1. Juris Doctor (J.D.) degree from an accredited law school.
    2. Active membership in good standing with the state bar association.
    3. Minimum of 8 years of experience practicing real estate law, with a focus on commercial transactions and leasing.
    4. Prior experience in the food and beverage industry and/or franchising preferred.
    5. Strong negotiation skills with a proven track record of successfully closing real estate deals.
    6. Excellent understanding of real estate laws, regulations, and industry standards.
    7. Ability to work independently, manage multiple projects simultaneously, and prioritize tasks effectively.
    8. Exceptional communication skills, both written and verbal, with the ability to convey complex legal concepts in a clear and concise manner.
    9. Strong analytical and problem-solving skills, with keen attention to detail.
    10. Collaborative mindset with the ability to build positive working relationships with internal and external stakeholders.
