_General Role Description_
Lead the drafting and negotiation of a broad range of commercial contracts, provide cross-functional legal and risk management support to the organization, and assist the General Counsel with comprehensive risk management strategy and policies to enable achievement of the Mid-Range Plan (MRP) objectives and enable long-term, healthy, sustainable, and profitable growth of the Company.
_Role Accountabilities_
- Lead the Company's sales and business teams in the negotiation of contract terms that are balanced in the allocation of risk, recognize realistic divisions of responsibility between client and the Company, and afford the Company the liability protections consistent with the contracts risk management policy
- Identify and analyze risks and trends in client contracts and risk positions to drive both mínimalrisk contract content and successful sales team strategy development to secure orders
- Draft compliance and/or corporate policies and procedures, as requested by General Counsel
- Lead complex contract negotiations in commercial transactions for capital goods, industrial equipment, and services, as needed
- Maintain and continuously improve the relationship between the function and the Company's sales and business teams by which orders strategies are implemented and contract terms negotiated effectively
- Develop and execute global business strategies and initiatives and secure expert input on legal issues in cooperation with General Counsel, Company, parent company and other group company executive leadership and peers
- Proactively and positively promote and exemplify the TMEIC brand to internal and external contacts, and the general public
- Evaluate and report on Company compliance with certain laws, regulations, policies, practices, or procedures, as requested by the General Counsel
- Proactively and positively promote a culture of superior performance, ethical conduct, professional development, and personal learning, by setting an example for others to follow
- Offer guidance on daytoday commercial contract matters and review and provide feedback on work product, in coordination with Contracts Specialist, Associate Counsel, and other members of the legal department

_Minimum Qualifications_
- Bachelor's degree or equivalent
- Juris Doctor degree or equivalent via education and/or work experience
- U.S. qualified lawyer with admission to practice in at least one state bar
- 2 years' work experience in the corporate/commercial practice group of a law firm
- Demonstrated successful working relationships with clients, suppliers, and other internal and external contacts
- Demonstrated successful and positive personal leadership, interpersonal, organizational, administrative, and communication skills
- Demonstrated continuous improvement in areas of responsibility
- Proficiency in MS Word, Excel, Outlook, and an HRMS
- Availability to travel, domestically and internationally, 10%, sometimes with limited notice
_Preferred Qualifications_
- 5 years' experience in the corporate/commercial practice group of a large law firm
- 2 year' inhouse experience, including managing contracts and commercial functions
- Experience managing contracts and commercial support staff
- MBA
- Experience working with multinational corporations either in a business or legal function
- Experience drafting and negotiating crossborder, M&A, services, equipment purchase and sale, construction, project management and IP transactions
- Exceptional communication and organizational skills
