Description

Two Harbors Investment Corp., an NYSE-listed public company, is seeking a corporate securities and governance attorney to join its team of legal professionals.

The position reports to a senior corporate attorney and will be responsible for providing significant support with respect to 1933 Act, 1934 Act and corporate governance matters.

A successful candidate must be detail-oriented and have the ability to work independently while managing multiple priorities and deadlines.

Responsibilities

Assist with the preparation and filing of various filings with the U.S. Securities and Exchange Commission, including; Forms 10-K, 10-Q and 8-K; Section 16 filings; registration statements; and proxy statements;
Provide counsel in the areas of capital markets transactions and corporate finance matters, including mergers and acquisitions, securities offerings and repurchase and credit facilities;
Handle corporate governance matters, including the preparation of board and committee meeting materials;
Assist in developing and maintaining policies and procedures to ensure continuing compliance with SEC and NYSE rules and regulations and support other internal compliance functions; and
Draft and negotiate a wide array of general corporate agreements, including service agreements, non-disclosure agreements and other commercial contracts.

Qualifications

JD from an ABA accredited law school and excellent academic credentials;
State Bar membership in one or more states;
4-7 years of relevant corporate law experience, with an emphasis in securities and corporate governance matters;
Versatility, maturity and ability to work both independently and as part of a team; and
Excellent oral and written communication skills.
