- Prepare and review legal documents including employee contracts, confidentiality agreements, stock certificates, shareholder agreements, financial reports, articles, and lease agreements
- Monitor and ensure compliance with state, local and federal regulations
- Prepare and file documentation including state tax registrations and IRS forms
- Prepare UCC searches and filings
- Research and prepare documentation for the formation and maintenance of corporate, partnership and LLC entities
- Prepare and track paperwork for mergers, acquisitions, dissolutions, amendments and withdrawals
- Compile necessary data and prepare audit letters
- Draft shareholder consents and proxies
- Draft corporate resolutions and related documents
- Maintain and organize minute books and databases
- Associate degree in Paralegal studies
- Bachelor's degree preferred
- 3 years' Paralegal experience
- M&A experience required
- Insurance brokerage experience a plus

Our legal team is adding a Paralegal to join us in our Ormond Beach location. The successful candidate will support the legal department by reviewing the company's policies, gathering data, preparing documents or other paperwork involved in the Mergers & Acquisitions process. They will work closely with and in collaboration with the M&A team to support the various acquisition activities.
