- Manage and develop a team of paralegals; provide oversight to ensure the group is delivering accurate and complete results within timeframes set by management or required by law
- Manage all aspects of Company Secretarial document management and subsidiary database management
- Manage and assist incorporation/formation of entities, such as management changes, qualifications, amendments, withdrawals, mergers and dissolutions of U.S. and International subsidiaries
- Oversee engagement with outside counsel, ITW businesses, and other functions to resolve a variety of requests and submissions to local registries in the U.S. and overseas (e.g., legalizations, apostilles, ultimate beneficial owner inquiries, and KYC documentation)
- Manage vendor relationships (e.g., Law Debenture, CT Corporation and external counsel) and associated expenses; assist Chief Governance Counsel with budget planning
- Train team members and provide oversight for general corporate legal administrative tasks such as maintaining minute books and other records of U.S. and International subsidiaries
- Train and provide guidance to team members in drafting certifications, affidavits, incumbencies, and powers of attorney
- Assist with internal subsidiary reorganization transactions and the review of various agreements, resolutions and certifications
- Provide support for mergers, acquisitions and divestitures (including due diligence of entities' corporate histories and timely and proper execution of deal documents).
- Analyze team's processes and systems and initiate or assess solutions for better efficiencies
- Supervise the work of direct reports to maintain and update the ITW Subsidiary Governance handbook
- Four Year Degree or equivalent/related experience
- Paralegal certificate from an ABA-accredited institution is preferred.
- 6-8 years of experience in a corporate legal department, law firm, or related experience
- Strong experience in entity management, subsidiary governance, and database management (hCue preferred)
- Proficiency with Microsoft Suite; able to learn other software programs quickly
- Strong organizational and critical thinking skills; ability to take on new projects with little oversight
- Ability to multi-task, prioritize, meet tight deadlines, attention to detail
- Ability to analyze systems and processes and leadership skills to initiate improvements
- Ability to lead, manage and develop the Subsidiary Governance team
- Ability to exercise discretion and maintain confidentiality of sensitive information
- Self-motivated; ability to work both (i) independently to complete tasks and respond to department requests and (ii) with others to utilize their resources and knowledge to identify quality solutions.
