Summary:

The ED, US Tax Planning and M&A is based out of our East Hanover, NJ office.

This person will be responsible for the leadership, management, and execution of US tax planning strategy spanning the various dimensions of US federal, state and international tax.

In addition to execution of tax strategy, the ED will oversee M&A transactions, provide tax technical advice on all tax functional areas and lead transformation initiatives identified by the tax function.

The role is key in driving the strategic direction of an inclusive, globally integrated, finance based and functionally connected US tax organization, covering end-to-end all relevant aspects of US tax.

This role includes relocation support.


About the Role:


Leading Tax

  • Member of the US Tax LT driving the continuous development of a finance/accounting based tax organization with analytical orientation prepared for internal and external needs and challenges. Ensure close collaboration with business stakeholders locally and globally.
  • Lead the US tax effort and maximize the value delivered in support of federal and state tax reporting, compliance, and controversy, act as trusted and respected advisor with BU stakeholders and senior management.
  • Provide leadership and technical support as a function aligned with tax planning and transfer pricing based on strong finance and accounting skills, promoter of the strategic integration of US Tax into the local and global Novartis organization including business partnering and technical expertise on all dimensions of tax reporting and compliance.
  • Representative of US tax function with policy makers, fiscal authorities, industry associations, tax director community and other external stakeholders to front Novartis on specific tax matters.

Compliance and Risk Management

  • Responsible for the leadership, management and execution of US tax planning and business partnering initiatives, leader of the various dimensions of tax.
  • Build and maintain close working relationships across various corporate and business functions throughout the organization (BPA, FRA, etc.) to facilitate timely and accurate tax filings and execution of tax strategy.
  • Evaluate opportunities to minimize effective tax rate and cash taxes while managing risk.
  • Provide technical leadership across all functional areas including federal, state and international taxes, US tax reform, business restructurings, impact of new legislation, M&A, accounting methods and pronouncements on tax reporting and compliance.
  • Lead the overall transformation of each tax functional area including redesign of all tax processes (provision, compliance, planning and transfer pricing) through proactive identification and implementation of transformation improvements for process simplification and standardization.
  • Ensure tax technology initiatives align to the Novartis tax strategy and vision, including data and technology strategy, solution and software implementation, and adhering to compliance rules and regulations.
  • Team with Transfer Pricing and other stakeholders to support the compliance and risk management in the area of M&A, BD&L, IP, reorganization, integration, role location, outsourcing and offshoring, etc. through integrated, deep analysis combining the gathering and mapping of comprehensive financial, accounting and other data to identify and quantify the various accounting and tax dimensions
  • Provide expertise in the design and amendment of US Tax policies and procedures reflecting the impact from R&D, IP innovation, transformation or other initiatives and circumstances, including management of impact and efforts at level of tax accounting, reporting, closing, forecasting, filing, etc.
  • Lead M&A activities (acquisition integration, divestment analysis, legal entity rationalization, modelling tax scenarios.)

Planning and Structuring

  • Drive the Tax strategy for M&A, BD&L, IP, reorganization, integration, role location, outsourcing and offshoring, etc. impacting US entities through integrated, deep analysis combining the gathering and mapping of comprehensive operational, financial, accounting, tax and other data to identify risks and opportunities and quantify the various accounting and tax dimensions
  • Design and implement strategies for local IP covering the innovation agenda and key IP/R&D contributors, align amongst US tax functions, Legal IP and other business partners on analysis and execution
  • Monitor US and global legal and policy developments impacting US entities from a tax perspective, assess relevance, quantify impact, provide summaries and recommendations on risks, opportunities, and measures; communicate and align with local and global functions
  • Proactively partner with the business and assess global and local transformation initiatives and projects including US and global growth strategies, functional relocations of global roles, etc. embedded in international tax developments (OECD/BEPS/DEMPE, etc
