    Our client, a private real estate lender, is looking for a Senior Paralegal with an expertise in private investment funds in New York City to join their legal team. This position will partner with the General Counsel to provide support to and collaborate with the fast-paced Proprietary Products group to develop and implement new and innovative Multifamily real estate finance products and raise capital through joint ventures and private funds.

    This a roll-up-your-sleeves role in a lean company with about 235 employees, presenting the opportunity to take ownership of your work and grow within the organization. Below are responsibilities and qualifications of the position.

    Responsibilities:

    • Assist with all aspects of organization and closing of joint ventures and private funds and related financings, including support the preparation and updating of appropriate aspects of the relevant legal documents (e.g., joint venture agreements, limited partnership agreements, side letter agreements, placement agreements, and other investment management related contracts), signature pages, closing sets and post-closing matters
    • Primary legal point of contact in the New York office for private funds team (including LLCs and partnerships):

    Entity formation, dissolution and maintenance processes

    Set-up, registration and dissolution processes with internal counsel, external counsel and service providers to draft and maintain governance and other entity documents (e.g., delegations, resolutions, appointments and removals, powers of attorney, amendments, minutes, consents, certificates of incumbency)

    Maintenance of firm-wide officer slates and signature blocks

    • Coordinate with external counsel and manage registrations and recurring and ad hoc regulatory filing requirements relating to private funds (e.g., securities & treasury filings)
    • Organize and maintain files, databases, lists and registers relating to joint venture and private fund entities and transactional, regulatory and other legal matters

    Qualifications:

    Education/Certification:

    • Bachelor's degree required.

    Experience:

    • 5-8 years prior paralegal and/or funds operational experience is required, preferably with some portion relating to private funds either in a law firm or asset management firm.
    • Familiarity with joint venture and private investment fund structures and transactions
    • Experience with basic aspects of corporate governance
