Vice President, General Counsel
Overview
The Vice President, General Counsel serves as the chief legal advisor for the organization, providing strategic guidance and oversight on corporate governance, regulatory compliance, risk management, and legal matters affecting the enterprise.
This role works closely with executive leadership, the Board of Directors, and key stakeholders to protect the organization's interests and ensure legal and ethical operations.
Key Duties And Responsibilities
Serve as the primary legal advisor to the CEO, executive team, and Board of Directors on corporate, regulatory, and operational matters.
Manage corporate contracts, agreements, and negotiations to mitigate risk and protect the organization's interests.
Lead internal legal team and outside counsel, providing direction on litigation, regulatory investigations, and dispute resolution.
Develop, implement, and maintain policies and procedures to ensure legal compliance and minimize organizational risk.
Advise on employment law, HR policies, and labor relations issues affecting the organization and staff.
Support strategic initiatives, mergers, acquisitions, and business development opportunities from a legal and compliance perspective.
Oversee intellectual property, data privacy, cybersecurity, and other emerging legal areas relevant to organizational operations.
Provide training and guidance to employees and leadership on legal, ethical, and regulatory matters.
Maintain effective relationships with external regulatory agencies, industry groups, and legal counsel.
Qualifications
Juris Doctor (JD) degree from an accredited law school; active bar membership required.
Minimum 10–15 years of corporate legal experience, preferably with experience in healthcare or complex multi-site organizations.
Strong knowledge of corporate governance, compliance, contract law, and employment law.
Proven experience managing internal legal teams and working with external counsel.
Excellent leadership, negotiation, communication, and strategic thinking skills.
High ethical standards, discretion, and ability to handle confidential and sensitive matters.
Work Environment
Fast-paced, multi-facility environment requiring strategic and operational legal support.
Collaboration with executive leadership, board members, and cross-functional teams.
Occasional travel for corporate meetings, regulatory engagements, or operational oversight.
Professional office environment with high-level decision-making responsibilities.
