The candidate will be responsible for advising corporate clients on a variety of matters, including structuring, entity formation, key contracts, and the purchase and sale of businesses. Will also be responsible for drafting and negotiating a wide variety of transaction documents involving mergers and acquisitions, asset purchases, financing, buy-sell arrangements, corporate governance and management, options, warrants, deferred compensation, plans of dissolution and liquidation, buyouts, private placement, and confidentiality and non-disclosure. Should have substantive legal knowledge and experience with all aspects of relevant law; requirements include perseverance, responsiveness to clients, appreciation for detail, and availability to work outside of typical business hours when necessary to meet deadlines. Should have portable business. Remote candidates licensed to practice in states other than VA and NC will also be considered.
