    We are working with a client in the Orlando area that is looking for a Corporate Paralegal to join their team. This is a onsite position with a company that offer competitive pay and a positive work environment.

    Corporate Paralegal Responsibilities:

    • Assist in complying with the Corporate Transparency Act by handling required filings.
    • Collaborate with external counsel to support trademark and service mark activities.
    • Aid external counsel in drafting and circulating legal documents for approval and execution.
    • Prepare Written Consents appointing officers/authorized signatories as required.
    • Review confidentiality agreements and other standard legal documents.
    • Assist in filing annual reports and maintain an annual report tracking spreadsheet.
    • Respond to requests for entity information, authorizations, and updated signature blocks.
    • Act as a liaison with legal counsel to provide internally required information.
    • Support ongoing legal activities related to the company's managed assets and brokerage operations.
    • Manage and update the master list of entities, signature blocks, and authorized signers.
    • Conduct research as requested.
    • Perform quarterly audits of transaction folders to ensure adherence to standard filing procedures.
    • Allocate and bill time to business partners in accordance with company policies.
    • Oversee all aspects of corporate entity management, including formations, dissolutions, qualifications, SS-4 applications, and EIN acquisitions for new and existing transactions.
    • Complete beneficial ownership/KYC bank forms and provide corporate entity documentation to support the development and investments accounting team; facilitate the opening of bank accounts.

    Corporate Paralegal Qualifications:

    • Bachelor's degree preferred with a minimum of 2+ years experience
    • Familiarity with corporate entity organization charts and related authorizations.
    • Strong computer skills, proficient in MS Office programs.
