    Description

    Major, Lindsey & Africa's Interim Legal Talent group has an immediate need for a Full-Time Interim Corporate Contract Attorney for a 3-month assignment.

    Overview: Our Client seeks a skilled Contracts Attorney specializing in M&A and Securities

    Company: Our is a nationally recognized regional law firm rooted in excellence, teamwork, and inclusion.

    Experience: The ideal candidate for this role possesses 2+ years of experience handling general corporate matters including mergers & acquisitions, and securities related transactions.

    Location: Regional Remote or Hybrid (Preference would be on-site 2 days.)

    Responsibilities Include:

    • Drafting, reviewing, and negotiating various contracts across a broad spectrum of legal areas.
    • Conducting thorough due diligence processes.
    • Preparation of disclosure schedules and ancillary transaction documents.
    • Crafting entity formation and organization documents, including operating agreements and shareholder agreements.
    • Reviewing existing operating agreements and shareholder agreements for compliance and effectiveness.
    • Handling securities-related transactions such as private placements, venture capital, private equity, and investment funds.
    • Providing legal counsel on corporate matters related to real estate development and joint ventures.

    Qualifications Include:

    • Juris Doctor (J.D.) degree from an accredited law school.
    • Admission to the state bar and in good standing. Licensed in NY or NJ.
    • 4 or more years of experience practicing law, with a focus on contract drafting, review, and negotiation.
    • Demonstrated experience conducting due diligence and preparing transaction-related documents.
    • Proficiency in drafting entity formation and organization documents, including operating agreements and shareholder agreements.
    • Experience in securities-related transactions, such as private placements, venture capital, private equity, and investment funds, is highly desirable.
    • Strong understanding of corporate matters pertaining to real estate development and joint ventures.
    • Proven track record of providing high-quality legal counsel and effectively managing client relationships.
    • Excellent communication, negotiation, and analytical skills.
    • Ability to handle multiple assignments contemporaneously.

    Pay Range: $90-$100 hourly
