    Position Overview:

    Ideal candidates will have four to six years of in-depth experience in the following areas:

    Public company rules and regulations (the Securities Act of 1933, the Securities Exchange Act of 1934)

    Public and private offerings of securities

    Knowledge of national securities exchange listing rules

    Reporting on Forms 10-K, 10-Q and 8-K

    Proxy statements for annual and special shareholder meetings

    Section 16 Reporting (Forms 3, 4 and 5)

    General corporate and corporate governance experience (e.g., drafting board resolutions, policies, press release, etc.)

    Broker-dealer, FINRA, investment adviser, or fund formation experience is a plus

    Qualifications:

    • Juris Doctor (J.D.) degree from an accredited law school.
    • Active membership in the New York State Bar with a minimum of 4 years of experience practicing corporate securities law.
    • Proven track record of successfully advising clients on corporate securities transactions, including public and private offerings.
    • Strong knowledge of securities laws and regulations, including the Securities Act of 1933, the Securities Exchange Act of 1934, and the Sarbanes-Oxley Act.
    • Excellent written and verbal communication skills, with the ability to communicate complex legal concepts clearly and effectively.
    • Strong analytical abilities and attention to detail.
    • Ability to work independently and collaboratively in a team-oriented environment.
